Overview

Reporting directly to Assertio’s General Counsel, the Corporate Counsel will assist with: (a) contracting support for commercial and other life sciences agreements, including distribution agreements, co-pay agreements, managed care agreements, collaboration agreements, master services agreements, consulting agreements, licenses, supply agreements, non-disclosure agreements, and related amendments ; (b) advising and collaborating on issues with the commercial, regulatory, quality, and compliance functions; (c) providing judgment regarding the interpretation and application of relevant healthcare laws and regulations, including the Anti-Kickback Statute; (d) managing corporate compliance with contracts; (e) oversight of the Company’s state-pharmaceutical licensing vendor; and (f) assisting with mergers and acquisitions due diligence.

Responsibilities

Essential Functions

  • Negotiates and drafts commercial contracts and supports various M&A activities.
  • Provides oversight of the Company’s compliance function.
  • Provides effective legal support for matters regarding the research, development, and commercialization of the Company’s products.
  • Provides guidance and works collaboratively with internal business clients to ensure compliance with statutory and regulatory compliance obligations.
  • Provides additional support to the General Counsel on other matters and assumes other responsibilities, as assigned.

Qualifications

Education/Experience

  • 4+ years of large law firm experience (preferably working with public companies in the pharmaceutical industry), or commensurate in-house experience (preferably working for a publicly traded life sciences company). The Corporate Counsel will have strong experience providing legal counsel on commercial contracts, corporate compliance, and expertise in negotiating and drafting complex commercial agreements. The ideal candidate will be a natural leader, ambitious, and a go-getter who is eager to have a substantial role in advancing Assertio’s mission and business objectives.
  • Bar: Must be licensed to practice law in Illinois or eligible for admission upon hire.
