Job Description

Primary Purpose

Evaluate companies’ opportunities for various transactions in the energy space, including the formation of joint ventures as well as acquisitions and divestitures. Oversee pre-and post-transaction financial planning, scoping, closing, and integration and coordinate research and analysis activities to assess risk and impact.


Provide legal support on a wide variety of transactional matters for Sempra or one of its business units. This support includes assisting with the analysis of potential domestic and international transactions and the drafting and negotiating of documents with respect to such transactions; focusing on joint ventures and mergers and acquisitions, with the ability to work on other matters including commercial contracts.

Often interface with colleagues across offices, independently produce client-ready documents and work with others on complex transactions. Demonstrated interest in project development, joint ventures and M&A is required, commercially savvy and strong business acumen, and be a solution oriented, collaborative team player.

Excellent at horizon scanning, identifying priorities, and excellent negotiation skills.

Duties and Responsibilities

  • Provide legal support for structuring, negotiating and documenting a variety of complex and ordinary course transactions, including recourse and non-recourse financings, joint ventures, mergers and acquisitions, project development agreements, commercial contracts and other business arrangements, particularly as they relate to Sempra Infrastructure’s businesses in the U.S. and Mexico.
  • Coordinate, implement and monitor legal services to the Business Unit to facilitate and achieve Business Unit objectives, including working closely with internal and external counsel, along with the senior managers in the Business Unit itself.
  • Interact with the Business Unit executives and upper management of other client groups.
  • Assist in reporting internally to the Law Department management and/or Business Unit General/Assistant General Counsel.
  • Perform other duties as assigned (no more than 5% of duties).

Qualifications

Education

  • J.D. or L.L.M. from an accredited law school required.

Experience

  • 7+ years of post-qualification experience in corporate transactional law, with a strong emphasis on mergers and acquisitions and/or joint ventures required.
  • Experience with international transactions or the energy industry preferred.
  • Experience with a well-established law firm and/or a corporate legal department preferred.
  • Significant experience as the “first chair” in large M&A and Project Financing matters, and be confident in managing and directing in-house specialties and other team members preferred.

Knowledge, Skills and Abilities

  • Able to analyze complex business situations and develop recommendations which meet the company’s legal and business needs.
  • Ability to prioritize conflicting demands from multiple business clients in a fast paced environment while paying attention to detail.
  • Ability to be confident in managing and directing in-house specialties and other team members.
  • Proven communication, and interpersonal skills, ability to work well independently and in a team setting.
  • Ability to interface effectively with all levels of a complex organization; ability to build excellent working relationships within multiple working groups.
  • Ability to travel.
  • Ability to read and write in Spanish is preferred, but not required.

Licenses and Certifications

  • Member in good standing of a U.S State Bar required. 

Other Qualifications

  • Prefer candidates who desire to work out of our Houston, Texas headquarters, with availability to travel to San Diego, California, Mexico City, Mexico and other locations, but will consider candidates who wish to work out of our San Diego, California offices with an ability to travel frequently to Houston on a regular basis.
