Responsibilities

The Role

The Corporate Paralegal will be part of the Post Holdings Legal Department and provide support relating to the Company’s corporate and securities matters.  This position requires a self-motivated and experienced paralegal who is able to work both collaboratively and autonomously.  The Corporate Paralegal will report to the Associate General Counsel - Securities, and will be primarily responsible for maintaining the Company’s numerous subsidiaries.  

PRIMARY RESPONSIBILITIES:

  • Prepare minutes, consents and resolutions to authorize corporate activities
  • Prepare documents for the Company’s subsidiaries’ annual meetings and elections of officers and directors
  • Entity management, including incorporations, amendments, qualifications, withdrawals, name changes and DBA’s
  • Prepare and distribute updates to the Company’s corporate organization chart
  • Assist in responding to requests for information and documents from the Company’s internal and external auditors, as well as Tax, Finance, Payroll, HR and Treasury Departments
  • Assist in the maintenance of records on the Company’s SharePoint site
  • Assist members of the Legal Department as needed in day-to-day activities, including general administrative support, as required by business and legal needs

SECONDARY RESPONSIBILITIES:

  • Prepare and file officer and director Section 16 filings using Workiva
  • Maintain records regarding director and officer securities ownership
  • Assist with proxy statement preparation, including director and officer questionnaires and compensation tables and support
  • Assist in organizing and overseeing annual shareholders meetings
  • Maintain the Company’s insider trading list, including maintaining the Company’s trading windows and designating insiders in the Company’s equity administrator’s website
  • Assist with preparation of materials and minutes for board and committee meetings
  • Effectively communicate and provide administrative support to the board as required
  • Track all board and committee actions to ensure that all regulatory and best practice items are completed on time
  • Administer board compensation processes
  • Liaise with transfer agent on various matters including with respect to shares outstanding and shareholder requests

This role is hybrid.  Work from home on Mondays and Fridays and in the office on Tuesdays, Wednesdays, and Thursdays.

Qualifications
  • At least 5 years of experience as a corporate paralegal with at least 3 years of prior public company board and related corporate experience in house
  • Experience with SEC filings and Workiva strongly preferred
  • Establish priorities in managing multiple projects simultaneously, efficiently coordinate work activities and provide quick turnaround without compromising quality
  • Demonstrate superior organizational skills, attention to detail and strong computer skills (MS Word, Excel, PowerPoint and general database management)
  • Self-starter; ability to work in a fast-paced, demanding environment with minimal supervision and rapidly shifting priorities
