Title: Corporate Financial Paralegal Location: Shelton, CT (Hybrid) Compensation $90,000 to $100,000

Are you looking for a progressive organization where you can utilize your corporate finance and legal/operations aptitude and experience?

Our client, a growing global organization, has a unique role in their legal department which is financially focused. It will involve finance, executive compensation & administration, as well as regulatory compliance. It will report to a senior member of the Legal Department and will support a variety of general corporate matters, including SEC and NYSE compliance, stock administration processes, and insider trading compliance. We are seeking a self-motivated individual with initiative and strong attention to detail who is highly organized and can multi-task competing priorities.

Responsibilities:

  • Assist with preparing and filing disclosure and other documents with the SEC and NYSE as well as other financial compliance, reports and filings.
  • Manage processes related to equity compensation for officers, including preparing and filing stock grant records, tracking holdings and transactions, and managing reporting and communications with the Company’s transfer agent and stock plan administrator
  • Assist with management of director compensation processes, including payments, dividends, share calculations and related communications
  • help manage the insider trading compliance program
  • Assist with the preparation, organization and maintenance of Board and Board Committee materials and presentations
  • Various legal claim file recordkeeping and reporting
  • Assist with the Company’s policy documentation review, approval and maintenance processes
  • Lots of special projects

Requirements:

  • Bachelor’s Degree in Business, Finance, Accounting or legal field of study
  • 3+ years of experience in corporate finance or a legal department setting.
  • Experience with stock administration, SEC compliance for a public company is preferred
  • Use of relevant stock and shareholder systems is also preferred
  • High degree of proficiency in Excel and PowerPoint required
  • Proficiency with SharePoint, DocuSign, risk management information systems and databases Excellent interpersonal and communication skills
  • Strong work ethic and a sense of professionalism, demonstrating accountability and integrity
  • Ability to adapt and be flexible to changing priorities in a fast-moving environment
