Position Summary:

The Legal Analyst position will focus on maintaining, updating, and organizing entity records, both in hardcopy and within the Dover entity management database. This position reports to the Deputy General Counsel. A proven ability to work independently and meet deadlines is essential, as work is generally independent of direct supervision.  

 

Essential Duties and Responsibilities:

  • Responsible for maintaining, updating, and organizing entity records (both hardcopy and within the Dover entity management database), including creating/updating user guides and managing user access with respect to the database.
  • Collaborates with Legal Department personnel and colleagues in other functional areas and external parties to support legal entity formation, merger or dissolution processes and other entity support (including managing apostille process as required).
  • Prepares, maintains and/or reviews relevant regulatory filings (e.g., state qualification filings and annual reports).
  • Manages domestic delegations of authority.
  • Assists in drafting resolutions for domestic entities, incumbency certificates, and related documentation for Company Legal, Treasury and Tax Departments.
  • Ensure that all projects are delivered on-time and within scope.
  • Report and escalate to management as needed.
  • Performs other project duties as required.

 

Qualifications / Requirements/Desired Characteristics:

  • Ability to work discreetly with confidential and sensitive information and materials.
  • Organized and efficient with excellent attention to detail.
  • Self-starter with ability to problem solve proactively.
  • Demonstrated expertise with corporate governance database and with MS Office Suite (particularly Word, Excel, and PowerPoint).
  • Demonstrates good judgment, integrity, and an understanding of general business values and ethics, and exercises a professional demeanor.
  • Excellent verbal and written communication skills.
  • Minimum 6+ years previous relevant job experience in a corporate law department or law firm.
  • Bachelor’s degree required.
  • Should be a notary or be willing to become one.
