GENERAL DESCRIPTION: The Credit Union’s VP – Corporate Compliance is a member of the Senior Management team. The VP – Corporate Compliance oversees the Compliance Management System and Compliance Program, functioning as a second-line form of oversight and control over consumer compliance and other laws and regulations. The role also oversees the Credit Union’s Bank Secrecy Act/Anti-Money Laundering (BSA/AML) and Office of Foreign Assets Control (OFAC) functions.

The position provides oversight for the Compliance Committee, Supervisory Committee, and the Board of Directors, regarding ongoing compliance with the federal and State laws, including consumer protection laws and regulations, ensuring that policies and procedures are being followed. The VP – Corporate Compliance is responsible for establishing standards and leadership to ensure that the Compliance Program is effective and efficient in identifying, preventing, detecting and correcting noncompliance with applicable rules and regulations. The VP – Corporate Compliance is responsible for monitoring and report results of consumer compliance efforts and BSA/AML & OFAC activities of the Credit Union. The VP – Corporate Compliance, together with the Compliance Committee, is authorized to implement all necessary actions to ensure achievement of the objectives of an effective Compliance Program. The Credit Union is subject to supervision by the California Department of Financial Protection and Innovation, the National Credit Union Administration, and the Consumer Financial Protection Bureau.

PURPOSE STATEMENT: The VP – Corporate Compliance leads the Compliance Management System and Compliance Program, which are designed to mitigate the Credit Union’s risk. The position influences and effects change that aligns with the Credit Union’s Strategic Goals and Objectives while building a strong consumer protection and compliance culture.

Tasks, Duties, Functions

General

  • Builds collaborative business partnerships with management and other business units to understand core business activities, risks, products, and transactions to appropriately customize and support the Credit Union’s Compliance Program. Strives to become a trusted advisor of management in supporting the Credit Union’s consumer protection compliance programs, compliance with other applicable laws and regulations, and business objectives.
  • Oversee and maintain applicable Corporate Policies, as well as other policies with regulatory impacts.
  • Oversees the Compliance Training Programs, including appropriate introductory training for new employees as well as ongoing training for all employees and managers. Delivers in person training to the Supervisory Committee.
  • Track and analyze pending and new regulatory changes and their impacts to the Credit Union; develop and implement preparedness efforts resulting from such regulatory changes.
  • Manage external compliance vendor services and relationships.
  • Leads CFPB complex regulatory interactions and examinations as well as serve as the primary liaison for all interactions (examinations and periodic meetings), and support DFPI and NCUA examinations .
  • Develop trusted relationships with regulatory bodies and teams involved in the Credit Union’s oversight.
  • Understand the Credit Union’s business, stay on top of evolving products, and maintain relationships with regulators, including proactive notification of risk and business changes.
  • Support the development of appropriate and diligent responses and remediation plans when regulatory issues and concerns are identified.

  • Develops and maintains productive team-oriented client, staff, management, and Supervisory Committee and Board relationships through individual contacts and group meetings.
  • Provide reports on a regular basis, and as directed or requested, to keep the Compliance Committee, Supervisory Committee and Board of Directors informed on the progress of Compliance Program efforts.
  • Oversees the Credit Union’s BSA/AML and OFAC programs and functional areas.
  • Performs other assignments as assigned by the CEO, EVP over Compliance, and the Supervisory Committee.

Consumer Compliance

  • Maintains a current and in-depth knowledge of all Federal and State laws and regulations relating to consumer protection.
  • Effectively leads, manages, and coaches a team of Compliance professionals in monitoring, investigating, and reporting processes.
  • Oversees the Credit Union’s Compliance Management System, Compliance Program and supports the CEO, Compliance Committee, Supervisory Committee and the Board of Directors in the effective disposition of their responsibilities.
  • Coordinating internal compliance review and monitoring activities, including periodic reviews of departments
  • Acts as an independent review and evaluation body to ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated and resolved.
  • Monitors the performance of the Compliance Program and relates activities on a continuing basis, taking appropriate steps to improve its effectiveness.
  • Monitoring external audit review processes, maintains awareness of compliance issues, and in conjunction with the VP - Audit Services and senior management, responds to administrative inquiries related to compliance issues or audits.
  • Budgets for Compliance-related expenditures, including personnel expenses and expenses associated with developing and maintaining systems and processes to ensure compliance with applicable laws and regulations.

BSA/AML & OFAC PROGRAMS

  • Maintains a current and in-depth knowledge of all Federal and State laws and regulations relating to BSA/AML & OFAC compliance.
  • Effectively leads, manages, and coaches a team of BSA/AML employees working to ensure compliance withcustomer identification program, customer due diligence program, reporting, recordkeeping, training, and other program requirements of the Bank Secrecy Act and its implementing regulations.
  • Effectively leads, manages, and coaches employees working to ensure compliance with sanctions program administered by the OFAC.
  • Budgets for BSA/AML & OFAC expenditures, including personnel expenses and expenses associated with developing and maintaining systems and processes to ensure compliance with applicable laws and regulations.

Compliance With Other Laws And Regulations

  • Maintains a current and in-depth knowledge of all laws, regulations, and industry rules applicable to the Credit Union’s operations, e.g., rules promulgated by the National Automated Clearing House Association (NACHA).

Where needed, engages outside consultant and subject matter experts to advise the Credit Union in specialized matters relating to compliance with applicable laws and regulations.

PHYSICAL SKILLS, ABILITIES, AND EXERTION UTILIZED IN THE PERFORMANCE OF THESE TASKS:

  • Effective oral and written communication skills required to interpret, resolve, and document issues, train and evaluate staff, and perform other related tasks.
  • Must possess sufficient manual dexterity to skillfully operate an on-line computer terminal and other standard office equipment, such as financial calculators, personal computer, facsimile machine and telephone.

Organizational Contacts & Relationships

  • INTERNAL: All levels of staff and management.
  • EXTERNAL: Board, Supervisory Committee, legal counsel, regulators, external auditors, professional and community organizations, and law enforcement agencies.

Qualifications

  • EDUCATION: Bachelor's Degree preferred.
  • EXPERIENCE: A minimum of 10 years of full-time Financial Services experience in consumer protection regulatory compliance, BSA/AML & OFAC compliance, internal audit, external audit, financial services operations, or consumer protection compliance program development/evaluation, including 8 years supervisory experience with an emphasis on financial services.
  • KNOWLEDGE/SKILLS:
  • Extensive knowledge of and skill in applying internal auditing and accounting principles and practices, and management principles and preferred business practices.
  • Extensive knowledge of contemporary risk management and control techniques and working knowledge of contemporary control frameworks.
  • Knowledge of management information systems terminology, concepts, and practices.
  • Working knowledge of control and risk self-assessment facilitation techniques.
  • Considerable knowledge of Credit Union program policies, procedures, regulations, and laws
  • Considerable skill in conducting quality control reviews of audit work products. Skill in collecting and analyzing complex data, evaluating information and systems, and drawing logical conclusions. Familiarity with the common indicators of fraud.
  • Extensive skill in planning and project management, and in maintaining composure under pressure while meeting multiple deadlines.
  • Considerable skill in conflict resolution, mediation, negotiating issues, and resolving problems.
  • Skill in using a computer with word processing, spreadsheet, systems documentation, audit management packages, and other business software to prepare reports, memos, summaries, and analyses.
  • Considerable skill in effective verbal and written communications, including active listening skills and skill in presenting findings and recommendations.
  • Ability to establish and maintain harmonious working relationships with customers, co-workers, staff, and external contacts, and work effectively

Physical Requirements

  • Prolonged sitting throughout the workday with occasional mobility required.
  • Corrected vision in normal range required to audit documents and perform related tasks.
  • Hearing within normal range. A device to enhance hearing will be provided if needed.
  • Occasional movements throughout the department daily to interact with staff, accomplish tasks, etc.
  • Unusually long work hours may be required to accomplish tasks.
  • Ability to travel 20% annually. Travel as necessary to various of-of-town locations.

Licenses/Certifications

Compliance Certifications required; Credit Union Compliance Expert (CUCE), NAFCU’s Certified Compliance Officer (NCCO), Certified Bank Compliance Officer (CBCO), BSA/AML & OFAC professional certifications, and/or Certified Regulatory Compliance Manager (CRCM). Juris Doctorate degree and admission to the Bar to practice law desired, but not required.
