Description- Paralegal- Business Affairs

As a Paralegal at Celsius, you will be an integral part of our legal department, supporting various legal functions to ensure efficient operations and compliance across the organization. This role involves a diverse set of responsibilities requiring strong organizational skills, legal acumen, and the ability to work collaboratively with team members and stakeholders.

This individual will act as the first responder to legal queries from the business, engaging further legal support as required. You will be the primary support to the Legal Team on a wide range of matters and routine administration and will be asked to support in the delivery of high quality, timely and efficient legal advice and support across the business and provide help in translating complex matters into easily understood advice.

 

Responsibilities:

· Project Management:

· Lead and coordinate legal projects, including contract reviewing, compliance initiatives, and process improvements.

· Develop project plans, timelines, and milestones to ensure timely and successful project completion.

· Monitor project progress, identify potential risks, and propose solutions to meet project objectives.

 

· Facilitate Operational Efficiencies:

· Assist with implementation of strategies to enhance legal operational efficiencies and workflow processes.

· Develop and maintain standardized procedures, templates, and best practices to optimize legal operations.

· Collaborate with team members to streamline document management and improve information-sharing practices.

 

· Legal Research/Analysis:

· Conduct legal research and analysis on various topics to support legal proceedings or business decisions.

· Compile and summarize legal documents, case law, and statutes for attorney review.

· Stay updated with changes in laws, regulations, and industry practices relevant to the company.

 

· Administrative Support:

  • Provide administrative assistance, including scheduling meetings, managing calendars, and organizing documents.
  • Coordinate document production and distribution as necessary.
  • Assist in preparing reports, presentations, and correspondence.
  • Maintain and organize legal files, databases, and records.
  • Provide day-to-day operational support.
  • Handle administrative tasks to support the efficient operation of the legal department.
  • Support attorneys in preparing for corporate meetings, closings, and compliance-related matters.
  • Review and process all legal invoices.

 

· Corporate Governance:

· Ability to learn and maintain Diligent (SAAS) database.

· Learn and handle basic securities filings including Forms 4.

· Manage library of corporate polices

· Assist in the drafting of Board and Committee meetings.

· Prepare basic corporate Resolutions and written consents.

Qualifications:

· Bachelor's degree and/or a paralegal certificate from an ABA-approved program.

· Proficiency in relevant legal software and tools (familiarity with CLMs, including Ironclad preferred).

· Minimum six (6) years’ experience as a paralegal in a corporate or law firm setting. Experience with legal operations is a bonus, but not required.

· Strong project management skills.

· Exceptional organizational and multitasking skills.

· Proficiency in legal research, document management, and document review.

· Excellent written and verbal communication skills.

· Detail-oriented with a high level of accuracy.

· Ability to work effectively both independently and as part of a team.

· Proficiency with common Microsoft systems, including Outlook, Excel, Word, PowerPoint, OneNote, and SharePoint
