Overview:

Reporting to the Chief Compliance Office, The Corporate Attorney will provide comprehensive legal support and guidance to internal stakeholders, including management, departments, and business units. You will work closely with the legal team and various cross-functional teams to navigate legal complexities and mitigate risks, contributing to the overall success and growth of the company. This role requires a proactive and business-oriented mindset, strong analytical skills, and excellent communication and interpersonal abilities.

 

Opportunity Highlights:

Legal Advice and Counsel:

  • Provide accurate and timely legal advice and counsel to internal clients on a wide range of corporate matters, including contracts, intellectual property, compliance, employment, and corporate governance.
  • Collaborate with internal stakeholders to understand business objectives and assess legal risks, providing practical solutions that align with the company's goals.

Contract Review and Negotiation:

  • Review, draft, and negotiate a variety of contracts, including vendor agreements, client contracts, confidentiality agreements, and licensing agreements, ensuring compliance with company policies and legal requirements.
  • Identify and mitigate contractual risks, proposing appropriate modifications and enhancements to protect the company's interests.

Compliance and Regulatory Matters:

  • Stay abreast of relevant laws, regulations, and industry best practices to ensure ongoing compliance and provide guidance on compliance-related issues.
  • Develop and implement compliance programs, policies, and training initiatives to promote a culture of ethics and compliance within the organization.

Corporate Governance and Entity Management:

  • Assist in managing corporate governance matters, including board meetings, shareholder communications, and regulatory filings.
  • Support subsidiary management and ensure proper corporate record-keeping, including maintenance of corporate books and records.

Risk Management and Dispute Resolution:

  • Identify and assess potential legal risks and proactively develop strategies to mitigate such risks.
  • Collaborate with external counsel, when necessary, to manage litigation and other dispute resolution processes, including settlement negotiations and alternative dispute resolution mechanisms.

 

Skills & Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in the bar association.
  • 5+ years relevant experience as a corporate attorney, preferably in a similar internal corporate role or with a reputable law firm.
  • Strong knowledge of corporate law, contracts, compliance, and regulatory requirements.
  • Excellent analytical, problem-solving, and decision-making skills.
  • Exceptional written and verbal communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
  • Strong business acumen and the ability to align legal advice with business objectives.
  • Ability to work independently, prioritize tasks, and manage multiple projects simultaneously.
  • Attention to detail and a commitment to delivering high-quality work within established deadlines.

Target base salary $185k annualized plus bonus and full benefits.
