THE COMPANY Orion Office REIT specializes in the ownership, acquisition and management of a diversified portfolio of mission-critical and corporate headquarters office buildings in high-quality suburban markets across the U.S. The portfolio is leased primarily on a single-tenant net lease basis to creditworthy tenants.

Location: Phoenix, Arizona Orion Office REIT Inc. is seeking a Junior Associate Counsel to join its legal team in Phoenix Arizona. Working together with Orion’s General Counsel and Assistant General Counsel, this person will assist with matters relating to SEC reporting and compliance, corporate governance, commercial contracts, real estate issues, and global subsidiary management. This position is a hybrid position and is required to be in-person in Orion’s Phoenix office Tuesday – Thursday.

THE ROLE


  • Assist in the preparation of SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements and registration statements and other SEC and exchange compliance matters.
  • Negotiate and draft commercial agreements in connection with Orion’s day-to-day property management.
  • Draft and manage Section 16 filings.
  • Draft and assist with the preparation of board and committee meeting materials.
  • Lead legal file document management and subsidiary management, including coordination of maintaining entities in good standing, and draft corporate organizational documents and maintain corporate records.
  • Assist with general corporate and public company compliance matters and special projects as necessary.
  • Proactively monitor legal and regulatory trends and advise on the impact to the business.
  • Support special corporate and securities projects, including offerings and investments.
  • Support real estate transactions, including title and survey review, electronic data room document transfer and management and the preparation of schedule and exhibits for property acquisitions, dispositions, leasing and financings.

CANDIDATE PROFILE

  • Recent law school graduate or 1 year of law firm experience
  • Admitted to a state bar (preferably Arizona)
  • Interest in commercial real estate and corporate law
  • Team spirit – willingness to assist wherever needed.
  • Ability to quickly identify legal and business issues; balance risks; and devise and articulate creative and practical solutions.
  • Intellectual curiosity and strong work ethic

COMPENSATION
