JOB TITLE: GENERAL COUNSEL (GC)

Job Summary

Reporting to the President and CEO, leads, manages and sets the strategy for the Company’s general legal, intellectual property, commercial and compliance on a global basis. This includes the management, supervision and/or performance of all commercial and strategic transactions, litigation, commercial compliance, risk management, intellectual property, legal entity and maintenance. This leadership role also champions efforts to build a high performing team for the function and enables a culture of respect and sustained compliance growth.

Essential Duties

Business Leader

  • Participates and shapes both in the short and long-term strategies to meet business goals/objectives for customers/patients. Leads as Executive Sponsor of the Steering Committee for corporate programs/business projects.

Trusted Advisor

  • Advises, provides counsel and guidance for the Company’s President & CEO, the TBCT Board of Directors, Executive Management Committee (EMC) and Executive Team (ET) on all legal implications and potential issues pertaining to the operation of the Company’s business. This includes litigation and related risk management; employment dispute matters; corporate governance issues; commercial compliance issues; intellectual property development, maintenance and protection to navigate new legislation while exercising professional discretion.
  • Represents the BCT business to Terumo Corporate on legal matters, influences its policies and governance processes.

Global Functional Leader

  • Leads the team of attorneys and other professionals that advises and guides the sales, business development, procurement and Innovation and Development functions in the negotiation of bid/offer documentation and various agreements such as customer sales contracts, distributor and sales agent, consulting, confidentiality, purchase and supply, development, joint venture, business acquisition, strategic alliance, clinical trial, licensing agreements as well as various other legal documents to support the organization.
  • Builds, maintains and supervises the Company’s Compliance function and program and oversees the development of policies and procedures, development and delivery of training programs, monitoring our “SpeakUp” platform and anonymous compliance hotline, conducting internal investigations and including investigating issues and reports.
  • Reviews the legal processes and identifies, implements process improvements to drive efficiencies in service delivery.

Enterprise Leader

  • Partners and collaborates with all functions and departments and within Terumo Corporation and its companies, including the Legal and Compliance Department headquartered in Japan and in the other Terumo affiliates globally.
  • Partners with HR and business leaders to promote understanding of the Terumo Group Code of Conduct and champions the Terumo Core Values while building an inclusive culture and respectful workplace.
  • Partners with the HR and Communications Teams to reviews press releases, external communications materials and internal communication materials to deliver various initiatives and change programs.

Company Executive

  • Serves as corporate Secretary of the Company and its United States subsidiaries and accountable for maintaining the legal entities of the business. Ensures streamlined and effective governance mechanisms and compliance systems operating in all subsidiaries and distributor relationships.

Other Duties And Responsibilities

  • Member of Executive Management Committee (EMC) and Executive Team (ET).
  • Serves as the Company’s Chief Compliance Officer, Chair of the Global Compliance Committee and Co-Chair of the Control Environment Oversight Committee to manage corporate risks.
  • Fosters external industry relationships and legislative connections with medical devices industry (AdvaMed)

Minimum Qualification Requirements

Education

Juris Doctorate degree

Experience

  • Minimum 20 years of experience leading Legal, Compliance and Government Affairs functions
  • Medical device, pharmaceutical, biotechnology and/or health care services industry experiences is a plus.
  • Experience in corporate acquisitions, divestitures, creative deal structuring for technology and channel partnerships
  • Experience managing teams of legal and compliance professionals in a global organization.

Professional Licensure

Licensed to practice law in at least one jurisdiction in the United States with eligibility to obtain a license to practice law in the state of Colorado using the single client license. Current licensure in the state of Colorado is a plus.

Physical & Travel Requirements

Typical Office Environment requirements include: reading, speaking, hearing, close vision, walking, bending, sitting, and occasional lifting up to 20 pounds. There will be an occasional requirement to work outside of normal business hours, consistent with other Executive-level positions. Moderate travel may be required (30%).

Target Pay Range: $369,600.00 to $395,000 - Salary to be determined by the education, experience, knowledge, skills, and abilities of the applicant, internal equity, and alignment with market data

Target Bonus on Base: 45.0
