A leading global company is seeking a Head of Transactional Law with substantial experience as a practicing lawyer, preferably as a senior in-house counsel in the biotech/pharmaceutical industry. The ideal candidate should have experience providing counsel in evaluating and negotiating complex M&A and licensing deals. The candidate must possess a J.D. from a top-tier law school and be a part of a U.S. State Bar.

Desired Candidate Profile

The candidate should have experience running a department, managing a team of lawyers and staff, both in-house and outside counsel.

Roles and Responsibilities

Setting the strategy, direction, and policies for the Transactional Law function at the organization

Shaping and implementing strategy and activities related to identifying and evaluating strategic collaborations and M&A

Developing, evolving and implementing methods, policies, and procedures for delivering legal services (including decisions to use outside counsel or leverage other internal resources) to meet the needs of the applicable functional groups and execute such strategy

Leading a team of lawyers to advise cross-functional teams evaluating potential strategic transactions (including licensing, collaborations, and M&A opportunities), with the ability to act as principal legal lead and supervise outside and in-house counsel for the negotiation and drafting of license and M&A transactions, related agreements, and continuing support of such relationships, including interpretation and advice to applicable functional groups.

The candidate will have additional responsibilities of ensuring legal support for drafting, reviewing, interpreting, and negotiating key commercial (i.e. vendor) contracts related to the applicable functional groups, particularly provisions affecting product rights or intellectual property rights. They should also have the proven ability to lead and manage a large group of seasoned lawyers and staff, providing actionable solutions including those relating to intellectual property, accounting, and tax, as part of related transactions. Experience in counseling senior executives across various disciplines within a company is also required.
