Join The Colony Group in making your everyday extraordinary! The Colony Group seeks a motivated and qualified individual for the position of Associate Counsel in our Boston, MA office. The individual selected for this opportunity will assist the company's General Counsel with all private fund legal and compliance matters required of operating a national investment advisory firm. Primary responsibilities : · Draft and update private fund legal documentation (PPMs, LPAs, IMAs). · Deep understanding of the mechanics of how private funds operate. · Review private fund service provider contracts (auditor, etc.). · Point of contact for private fund inquiries internally and externally. · Handle KYC requests related to private funds. · Oversee private fund regulatory filings (Form D, Blue Sky, Form PF, CFTC, Canadian filings). · Participate in investment-related conversations to provide legal advice on structure, terms, regulatory considerations, and potential conflicts of interest. · Matters that arise in connection with limited partners (subscriptions, redemptions, etc.). · Interact with private fund outside counsel. · Assist wealth management team with legal needs of clients pertaining to private funds. o Participate in continuing education and legal matters and with training sessions. The position requires : · Juris Doctor degree; · Membership of a state Bar Association; · Exposure to private fund legal matters; · 2 + years of relevant experience; · Superior integrity, judgment, and discretion; · Excellent written and verbal communication skills; · Notable attention to detail, self-initiated follow-through, and outstanding time management and organizational skills; and · Ability to work in a fast-paced environment and to juggle multiple and competing tasks and demands. The position prefers : · Exposure to securities law compliance; and · Basic understanding of financial services.
