The Role And Why It Matters

We are seeking an experienced US attorney to join our legal team in the critical role of Director, CFIUS Legal Counsel. This position will report to Vonage’s Chief Legal Officer and be responsible for overseeing and advising on all Legal matters related to the Committee on Foreign Investment in the United States (CFIUS) process. The successful candidate will play a key role in ensuring compliance with national security regulations while supporting the company's strategic initiatives.

You Will

  • Provide expert guidance and legal advice on CFIUS matters, including risk assessment, compliance, and mitigation strategies.
  • Conduct thorough due diligence on potential transactions to assess CFIUS implications.
  • Assist the inhouse CFIUS security team in continuing to develop and implement CFIUS compliance programs and policies.
  • Collaborate cross-functionally with internal teams, including finance, compliance, and business development, to ensure alignment with CFIUS requirements.
  • Represent the company in interactions with government agencies and external partners regarding CFIUS matters, including the CMAs.
  • Stay abreast of changes in CFIUS regulations and national security policies and advise on their impact on the company.
  • Act as key Vonage legal contact in all matters supported by our CFIUS outside counsel

What’s Required For Application

  • Juris Doctor (J.D.) degree and active membership in good standing with a state bar association.
  • Minimum 7+ years of experience practicing law, with a focus on CFIUS matters and national security regulations.
  • In-depth knowledge of CFIUS regulations, procedures, and related legal frameworks.
  • Strong analytical and problem-solving skills, with an ability to assess complex legal issues and provide practical solutions.
  • Excellent communication and interpersonal skills, with the ability to communicate legal concepts to non-legal stakeholders.
  • Proven ability to manage and prioritize multiple projects in a fast-paced environment.
  • Experience in the technology sector or related industries.
  • Prior experience working with government agencies or in-house at a technology company.
  • You will possess a high level of integrity and be committed to the highest ethical standards.
