The most significant legal and compliance focus areas for the company are; customer and vendor contracts, labor, benefits, and employment, leases, licenses/compliance, M&A, and litigation.

Position

The General Counsel owns the legal, compliance, and risk management strategy of the company. They directly advise the senior management team on all company legal, compliance, and other risk related matters. They lead the execution of all legal and compliance initiatives, cases, and processes to ensure they are effectively managed. They set legal and risk policy for internal functional and field divisional leaders that include areas such as; commercial terms and conditions, sales contracting, financial settlement, tax compliance, employment law compliance and case management, federal, state, and local business law compliance.

They represent the company to third parties, courts, compliance agencies, and other parties in legal and compliance matters and coordinate all relationships and activities of outside council and service providers.

This role requires an individual who is strategic, commercially minded, able to achieve results though collaboration with others, and action oriented. They must possess a wide breath of legal and compliance knowledge and experience to cover all aspects of company legal and compliance areas. This role has significant board-level visibility and interaction.

Key Responsibilities

  • Provide direct, effective, and practical legal and compliance advice in all areas of the law to the senior management team to ensure the company complies with all laws and develops and upholds the best possible reputation, good will, and standing in the industry with all stakeholders.
  • Proactively assess and manage all legal affairs, risks, and corporate governance then develop and execute appropriate operational countermeasures.
  • Establish effective policies and procedures for corporate governance, contracts, intellectual property, mergers and acquisitions, labor/employment, litigation, environmental, regulatory, antitrust, ERISA, corporate/securities, foreign corruption and compliance, and privacy matters, as well as corporate and financial management.
  • Determine when outside counsel or service provider support is needed, select appropriate providers, and manage all work deliverables, fees, and other aspects of their services.
  • Serve as a member of the deal acquisition team and lead the legal activities and due diligence throughout all stages of the deal cycle. Assist management in deal negotiations of NDAs, IOIs/LOIs, Purchase Agreements, and other deal documents. Facilitate all communications between parties and ensure all compliance and other government filings are submitted on time and accurately.
  • Support HR/Safety staff in response to any safety incident or investigation and represent the company to investigators, agencies, employees, or families.
  • Review, evaluate, determine best course of action and manage all company litigation, summons, filings, inquiries, regulatory claims, proceedings, and internal and external investigations, with efficient use of internal resources and external counsel to protect and defend the companies’ rights and interests.
  • Set company commercial contract terms and support sellers and buyers in customer/supplier relationship management, contract negotiations, collections/payments, and other transactions and projects. Negotiate key indemnities, insurance, and liability limits on procurement, sales contracts, construction projects, and other agreements.
  • Provide regular training on critical policies and practices, governance, compliance, risk, and other subjects to all company managers and staff.
  • Be the primary company representative to all regulators, government agencies, media, external legal counsel, courts, and other parties for legal/compliance matters.

Qualifications-

The ideal candidate will possess:

  • Excellent understanding and functional knowledge of all federal and state laws and regulations pertaining to the company’s products, services, and national operations.
  • Proven track record of managing outside counsel on time and budget across all functional areas.
  • Proven track record of successful deal acquisition and associated negotiations, due diligence, legal compliance, and integration.
  • Excellent and accurate written and verbal communication skills across all mediums to persuade, motivate, and positively influence others to adopt change.
  • Advanced problem-solving skills, methods, and tools that can be applied in diverse settings and situations to achieve effective outcomes.
  • Individual must be based in Utah

Required Experience-


  • A law degree from an accredited university.
  • Admitted and certified member in good standing of a professional association or governing group in the United States.
  • At least 7-10 years of progressive corporate law-firm, or in-house legal practice experience in a national organization.
  • Familiarity with customer and off-the-shelf commercial industrial equipment products and field services and the legal / compliance requirements associated with them.
