Job Summary:

The Legal Counsel, Mobility will be responsible for WEX’s Mobility lines of business on complex commercial transactions in North America, primarily supporting WEX’s commercial teams and engaging collaboratively with the Finance, Operations, Risk and Compliance teams as well as external advisers such as outside counsel. 

Performance Objectives:

The ideal candidate will have the opportunity to:

  • Provide general in-house support for legal matters concerning WEX Mobility activities and operations, including supporting complex commercial transactions with customers, partners and merchants.  

  • Negotiate and draft a variety of commercial agreements including customer credit agreements, card program agreements, merchant agreements, various financial instruments, and marketing, referral, technology and goods and services agreements and related documentation, while facilitating necessary input from key stakeholders.

  • Identify, manage and escalate as necessary any issues and risks arising during drafting and/or negotiations with customers, suppliers, partners and third parties, including with respect to regulatory or compliance matters.

  • Support business development activities including RFPs, contract negotiations and business integration. Build and maintain processes consistent with best practice operations of large legal teams, including (1) maintaining and updating standard templates and creating playbooks; and (2) providing guidance for requirements for the development, creation and maintenance of contracting processes, including automated contracts and commercial support systems.

  • Ensure agreements adhere to corporate risk tolerance, policies and standards.

  • Manage and resolve specific contractual queries or disputes raised by customers or commercial partners.

  • Raising and exploring opportunities to improve process efficiency within the legal team.

  • Develop and maintain policies and procedures to protect the company and ensure compliance.

  • Be responsible for engaging, instructing and managing outside counsel. Provide commercially focused advice and recommendations to internal stakeholders regarding compliance with contractual terms and any other relevant policies and standards, while identifying potential business risks and non-favorable clauses for negotiation.

  • Be actively involved with the operations and commercial organizations to develop customer agreements and other commercial contracts.

Qualifications:

  • J.D. required plus 5+ years of legal experience in contract law

  • Experience in financial services and/or transportation industry (over-the-road/fleets), ideally in an in-house environment

  • Significant commercial contract drafting and negotiating experience, predominantly supporting sales, including in the public sector and technology agreements

  • Clear and articulate communicator (verbal and written)

  • Excellence in issue spotting and analysis, creative problem solving and issue resolution

  • Strong leadership and interpersonal skills, and ability to calmly handle a fast paced environment and unexpected situations

  • Excellence in understanding complex commercial and technical issues and business metrics, and adept at balancing business interests and legal risks to achieve pragmatic results

  • Strong time management and prioritization skills

The base pay range represents the anticipated low and high end of the pay range for this position. Actual pay rates will vary and will be based on various factors, such as your qualifications, skills, competencies, and proficiency for the role. Base pay is one component of WEX's total compensation package. Most sales positions are eligible for commission under the terms of an applicable plan. Non-sales roles are typically eligible for a quarterly or annual bonus based on their role and applicable plan. Salary Pay Range: $146,000.00 - $194,000.00
