Your Opportunity

As the Corporate Counsel at Vytalize Health, you play a pivotal role in providing legal guidance, drafting, and negotiating contracts. Reporting to the Chief Compliance Officer, you will collaborate with various teams, including Business Operations, Technology, Sales, and Compliance. Your focus involves reviewing, negotiating, and closing commercial contracts, ensuring rapid and business-oriented legal advice, and supporting negotiations on key commercial terms. This position requires a particular focus on Commercial and Medicare Advantage Payor Contracting. Additionally, you contribute to cross-team decision-making, manage projects to completion, and assist in organizational matters and dispute resolution.

What You Will Do

  • Review, draft (from forms and from scratch), negotiate and close commercial contracts including master services and sales agreements, statements of work, licenses, RFP responses and supporting documents across business units.
  • Provide rapid, practical, business-oriented legal and commercial contract advice directly to business clients.
  • Support business clients in negotiating price, deliverables, services scope, warranty and other commercial terms.
  • Apply innovative problem-solving skills and practical business judgment to enhance revenues, minimize risk and foster long-term client relationships.
  • Collaborate with and facilitate cross-team decision-making among the Legal team, Compliance team, Finance team, Sales teams, Operations teams, other internal teams.
  • Manage assigned projects to completion.
  • Assist Chief Compliance Officer and Compliance, Regulatory, and Legal team in other organizational matters, as needed.
  • Support resolution of contract disputes, as needed.
  • Support the creation and management of organization contracts management process.
  • All other duties as assigned.

What Will Make You Successful Here

  • J.D. degree from an accredited law school required.
  • Licensed to practice law in a US state.
  • 4+ years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal department experience preferred.
  • Excellent verbal and written communication skills.
  • Excellent organizational skills and attention to detail.
  • Entrepreneurial spirit, a sense of ownership and comfortable operating in ambiguity
  • Solution oriented with the ability to think strategically and creatively in decision-making
  • Strong work ethic to exceed expectations and goals
  • Coachable and able to take direction and feedback well, yet being forward-thinking to challenge the status quo
  • Ability to act with integrity, professionalism, and confidentiality.
  • Proficient with Microsoft Office Suite or related software
