We are looking for a Junior Corporate Attorney to support our Corporate Secretary with the preparation and execution of board, committee, shareholder and corporate compliance actions for Dun & Bradstreet’s global businesses. The Corporate Secretary provides advisory support to senior leaders, businesses and internal other teams on corporate governance, global securities and corporate laws and internal policies.

Essential Key Responsibilities

  • Subsidiary entity management: Manage the formation, merger and dissolution of US and international subsidiary entities. Support Finance, Tax and Treasury with financial transactions, including dividends and recapitalizations, and Know Your Customer requests. Manage subsidiary entity database and corporate records. Execute corporate filings and reports according to applicable laws and regulations. Support the appointment of subsidiary directors and officers and designation of authorized signatories.
  • Support Corporate Secretary with the management of public company and private subsidiary Board of Directors and committee meetings, drafting resolutions, minutes and communications.
  • Liaison with U.S. and international corporate secretarial and registered agent vendors
  • Support M&A and corporate governance aspects of commercial transactions.
  • Improve corporate governance practices and policies in collaboration with Compliance.

Education And Experience

  • Education: Bachelor's, Juris Doctor
  • Years of Relevant Experience: 1-5 Years

Additional Skills And/or Certifications

  • Licensed to practice law in at least one U.S. state; 1-3 year(s) corporate or securities law experience preferred; Corporate governance understanding required, experience with a publicly traded company preferred; 1-2 years subsidiary management preferred, international subsidiary management interest required; Excellent drafting, negotiation and communication skills; Analytical ability and strong attention to detail; Strong interpersonal skills necessary to regularly interact with senior leaders.
