About the Role:

Primarily responsible for managing day-to-day Ethics and Compliance function at the direction of the General Counsel but also will handle other matters assigned by the General Counsel.  These other matters could include M&A, SEC compliance, litigation and other areas.  A primary focus of this position is to support more senior professionals in providing legal advice and recommendations for action to executives and management. Critical to this role is providing company with high-quality legal advice with a commercial focus and effectively managing the Company’s external legal providers.

Duties will include:

  • Actively manage all phases of the global Ethics and Compliance function under the direction of the General Counsel

  • Consult and advise management on potential liability exposures and risk mitigation strategies and solutions.

  • Assist in management of internal investigations, including preparing, tracking, and reporting on statuses, managing budgets, and assisting with investigation procedures.

  • Stay abreast of current legal developments that may impact the Company’s Ethics and Compliance policies and procedures.

  • Assist General Counsel with other areas of Legal Department responsibility as directed.

  • Manage relationships with external firms to control outside legal costs on compliance matters. 

  • Lead M&A transactions as assigned

  • Open to available or frequent travel; up to 10% of overall schedule 

About you:

  • Juris Doctor from an accredited law school

  • Minimum of 8 years of relevant work experience 

  • Must be licensed to practice law in Missouri, elegible for admission to the Missouri Bar (which must be obtained within 6 months of hire), or eligible to obtain limited admission to the Missouri Bar as in-house counsel pursuant to Mo. Bar Rule 8.105 (which must be obtained within 6 months of hire)

  • Ethics and Compliance experience strongly preferred but not required

  • Other areas of experience that would be preferred include M&A and commercial litigation.

  • Admission to one or more U.S. Courts

  • Ability to interface effectively with all levels of management and to keep relevant stakeholders updated in a regular and timely manner

  • Communicates clearly and works effectively and colleagues from different functions, different offices, different cultural backgrounds and at every level of the company's organization

  • Acts as a change agent and enabler on various projects and programs across the business

  • Collaborative team player with an entrpreneurial mindset and a passion for innovation and driving results

  • Energetic, well-organized, and able to perform with some supervision

  • Capable of maintaining independent judgment and advice while developing close relationships with business personnel

  • Demonstrable experience in setting priorities and managing expectations with respect to deliverables and deadlines

  • Must be a team player who is able to build consensus among multiple departments

Physical Requirements:

  • Must have the ability to perform office-related tasks which may include prolonged sitting or standing

  • Must have the ability to move from place to place within an office environment

  • Must be able to use a computer and be proficient in computer programs such as word, excel and PowerPoint

  • Must have the ability to communicate effectively  

  • Some positions may require occasional repetitive motion or movements of the wrists, hands, and/or fingers
