The Associate General Counsel is responsible for providing counsel to senior management on legal rights and obligations. They provides advice on legal and reputational risks and regulatory issues. They effectively manages and oversees outside law firms to provide cost-effective legal services.

  • Provides legal counsel and guidance to the company's and its various entities' management and boards of directors on strategies and solutions to potential, anticipated and/or identified legal, regulatory and/or compliance matters and issues of concern.
  • Advises management and various partners to help ensure operations comply with laws and other regulatory provisions and contractual obligations.
  • Represents or oversees the company in transactions, legal proceedings, disputes, initiatives and various other matters.
  • Drafts, reviews, negotiates, advises regarding and/or approves policies, procedures, contracts and related documents for business operations, regulatory compliance, procurement of goods and services, confidentiality of proprietary information, employment, leases of space and equipment and software licenses, and generally to support business operations and promote the company's objectives and interests.
  • Performs a wide variety of complex or specialized legal activities to protect the organization's reputation and business interests and helps ensure it complies with all relevant laws and regulations.
  • Establishes legal standards and provides advice to the company, up to and including the senior management level, regarding legal issues impacting applicable business segments or regions.
  • Advises the business on statutory obligations/compliance issues and interacts with regulators, if applicable. Works with internal stakeholders to implement processes to effectively manage such obligations.
  • Determines the need for, builds and maintains relationships with, and oversees the engagement of external counsel.

Qualifications

  • Education: J.D. degree, and active license to practice law in at least one US jurisdiction.
  • Work Experience: 12+ years experience practicing law in financial services, bank, or law firm.
  • Excellent verbal and written communication (including briefing) skills.
  • Ability to effectively and quickly build relationships and establish trust, respect, competence, and confidence.
  • Excellent interpersonal/people and collaboration skills and ability to interact effectively at all levels of the organization and able to stand firm on issues when necessary.
  • Possess gravitas, judgment and self-confidence, but also respect for others, regardless of position, and desire to work as a team member with all levels of management.
  • Strong knowledge of full range of US labor and employment law including employment litigation, non-competition and confidentiality, restructurings and RIFs, anti-discrimination, anti-retaliation, wage and hour, leave laws, etc.
  • Strong business acumen with a dynamic approach to problem solving, tempered by an appreciation for legal complexity and risk.
