Position Summary

The Contracts Specialist/Senior Contracts Specialist serves as both a business partner and a subject matter expert on contracts-related matters, with responsibility for ensuring timely, accurate and risk-weighted advice and service. A member of a collegial and highly effective Legal Department, the Contracts Specialist/Senior Contracts Specialist works in close collaboration with other Oceaneering employees across business segments and functional departments to enable business and maximize profit in furtherance of the Company’s strategic objectives and within its Mission, Vision, and Values.

The Contract Specialist/Senior Contracts Specialist leads the review, drafting, negotiation and execution of the legal terms and conditions included in commercial contracts and subcontracts for Oceaneering’s service and product lines. The Contracts Specialist/Senior Contracts Specialist is also responsible for supporting Oceaneering’s business segments and procurement department on other contractual matters as they arise. The Contracts Specialist/Senior Contracts Specialist will be responsible for contracts of various values and complexities that may have senior management visibility.

  • This role provides the opportunity to work in hybrid environment, working both virtually and in a designated office.

Functions

Duties & Responsibilities

  • In support of Oceaneering’s sales and procurement activities, analyze, draft, and negotiate contractual terms and conditions related to: (1) the provision of services, (2) the sale of goods, (3) the sale of Software as a Service (SaaS), and (4) the procurement of services and/or goods (Supplier contracts), while at all times ensuring compliance with Oceaneering’s policies and guidelines. Types of contracts include, but are not limited to, master service/purchasing agreements, project-specific contracts, vessel charter agreements, shipyard agreements, confidentiality agreements and parent company guarantees.
  • Advise personnel in the Bids and Proposals, Commercial, Sales, Operations and Procurement functions on Oceaneering’s policies and guidelines, as well as contractual risks and mitigation approaches, throughout the contract negotiation process.
  • Liaise with Legal, Tax, Finance, Insurance, and other Oceaneering functions to ensure that all contracts comply with Oceaneering’s policies and guidelines.
  • Advise business segment leaders on Oceaneering’s policies and guidelines related to contractual risk and mitigation. Recommend updates to policies and guidelines as appropriate.
  • Counsel business segment leaders on contract issues that arise during operations.
  • Administer contracts files in Oceaneering’s contract management database in compliance with Legal Department guidelines and procedures.
  • Provide and participate in formal and informal training related to Oceaneering’s contracting policies and practices.
  • Work additional hours on short notice and be accessible for communication after normal working hours as necessary to meet business and operational demands.
  • Perform other duties as assigned.

Required

Qualifications

  • Bachelor’s degree or equivalent combination of education and experience.
  • Minimum 3 years of relevant experience, including experience with indemnity structures and limitations of liability is required.

DESIRED

Contracting experience in one or more of the following industries:

  • Offshore energy services, including renewable energy.
  • Manufacturing and sale of goods.
  • Industrial mobility and autonomous vehicles.
  • Digital services and technology, including SaaS, data, and software licensing.
  • A law degree is helpful but not required.

Knowledge, Skills, Abilities, And Other Characteristics

  • Brings a proactive, team-oriented approach.
  • Develops and maintains strong professional relationships with Legal colleagues, other Oceaneering employees, and external customers and suppliers.
  • Ability to communicate effectively with leaders, colleagues, customers, and others, singly and in groups, orally and in writing, including responding to common matters raised by customers, and making presentations to leaders and colleagues.
  • Ability to draft contractual language with minimum supervision.
  • Ability to define and solve practical and complex problems, collect data, establish facts and draw valid conclusions.
  • Spanish language skills are helpful but not required.
  • Willing to travel, domestically and internationally, as needed.

Additional Information

This position is Hybrid - Remote and will require commuting to a designated office. Hybrid work schedules are determined by the hiring manager based on business need.
