The Corporate Legal Counsel will provide legal and transaction support to the Head of Legal, Account Managers, the Global Sales Team, and senior leadership. The ideal candidate will have significant experience with software and IT contracts, including previous experience negotiating, drafting, and reviewing multi-jurisdictional and international contracts.

You and the Role The position of Corporate Legal Counsel has great flexibility and the opportunity to work on a global scale. The primary duties of this role include:

  • Act as a key legal business partner on large, high value contract negotiations
  • Support the Sales Teams with RFPs and bid responses
  • Address regulatory and compliance matters like GDPR & Cyber Security
  • Provide transactional support to the Global Sales, Marketing, and HR Teams
  • See negotiations through to fruition in a commercial and pragmatic manner
  • Perform day-to-day ad hoc legal support (e.g., general contract terms, intellectual property rights issues, employment, and company policies)
  • Produce, update, and maintain precedent documentation and contract databases
  • Support audits, particularly those in pursuance of any Group accreditations

Skills & Experience The ideal Corporate Legal Counsel candidate will have the following skills and experience:

  • Juris Doctor from an ABA accredited institution (required)
  • 6-7 years of relevant industry experience
  • Experience reviewing and negotiating Master Agreements, Work Packets/Statements of Work, Change Requests, and SaaS and Subscription Agreements
  • Experience working with third parties (resellers, subcontractors) and referral agreements
  • Previous exposure to multi-jurisdictional and cross-border international contracts
  • Proven ability to thrive in a fast paced, dynamic in-house IT environment
  • Excellent interpersonal and oral and written communication skills
  • Strong analytical, problem solving, and critical thinking skills
  • Excellent organizational skills and ability to handle multiple responsibilities and deadlines
  • Ability to work under pressure to tight timescales with the ability to prioritize accordingly
  • Strong attention to detail, accuracy, and quality
  • Ability to build relationships with stakeholders and collaborators from across the business
  • Proactive and energetic with a positive attitude

Location: United States – Remote or In-Office/Hybrid (primary office located in Cincinnati, Ohio). Because this role supports our global business, candidates should be based in the Eastern or Central Time Zones.
