SVP, Legal Counsel

Job Description

Essential Duties and Responsibilities:

  • Serves as a strategic and proactive legal partner to the Bank’s business lines, assisting in the development of best practices, training, agreements and forms as well as providing solution-oriented legal guidance on a variety of topics.
  • Assists with various banking matters relating to loan operations/documentation, credit administration and risk management.
  • Proactively assists in the identification of current and emerging legal risks and issues impacting the Bank and provides assistance with the development of strategies designed to mitigate the risks.
  • Provides legal support with respect to a broad range of banking products and services, including ACH, bill pay, commercial products, deposit account control and escrow agreements, positive pay, remote deposit capture and wire transfer services.
  • Stays abreast of changes in laws and regulations and advises Bank personnel accordingly.
  • Assists with responding to subpoenas, garnishments and levies in a multi-state operating environment.
  • Supervises a network of outside counsel to successfully and strategically manage transactional and litigation matters.
  • Serves as a liaison with insurance claims agents to manage and respond to claims asserted against the company.
  • Supports and provides guidance with loan transactions and workouts, including responding to issues relating to loan modifications, loan sales, participations and forbearance agreements, as well as title commitments/policy endorsements and UCC filings and lien searches.
  • Serves on Bank management committees, as assigned by Executive Management, to provide legal counsel in connection with the development, oversight and enforcement of Bank policies, practices and procedures.
  • Completes other duties and projects as assigned.

Qualifications

  • Knowledge of legal and regulatory frameworks applicable to banking products and services (e.g., Dodd Frank, GLBA, TILA, RESPA, FDCPA, FCRA, Reg E, NACHA Rules, ESIGN, etc.)
  • Knowledge of the Uniform Commercial Code and laws relating to attachment and perfection of security interests, negotiable instruments and endorsements
  • Strong business acumen and critical thinking skills with a demonstrated ability to provide accurate, pragmatic, timely, thorough and well-reasoned legal advice
  • Ability to efficiently manage a complex and diverse workload, while keeping business partners advised as to status and meeting established deadlines
  • Ability to work collaboratively and independently within a fast-paced, small team environment, using knowledge, experience and sound judgment to accomplish goals and complete tasks
  • Excellent professional communication skills, both verbal and written, to work with all levels of internal personnel, external resources, and regulatory authorities, with the ability to communicate complex matters in an easily understandable manner
  • Strong legal research abilities

Education And Experience

  • J.D. from an ABA accredited law school or equivalent
  • Minimum 8-10 years’ experience as financial services or transactional counsel or other similar experience in a financial institution or a reputable law firm providing a wide range of legal services to community and commercial banks

Computer And Software Skills

  • Skilled in operation of a personal computer, including Microsoft Word, Excel
  • Lexis/Nexis and/or Westlaw
  • Salesforce

Certificates, Licenses And Registrations

  • Licensed to practice law and in good standing in the State of Missouri (preferred) or at least one state within the Bank’s physical footprint
