We are looking for an in-house attorney to join us here at Progyny. You will be responsible for leading the Company's corporate and securities compliance, and involvement in complex business transactions.

The Corporate Securities Attorney will be directly involved in securities governance and filings, and general corporate matters including drafting and negotiating critical contracts, corporate governance and compliance.

What You'll Do...

• Provide Leadership and counsel to ensure compliance with all security and governance obligations
• Play a key role in drafting and advising on filings with the Securities and Exchange Commission, including annual and quarterly reports on Forms 10-K and 10-Q, current reports on Form 8-K, proxy statements, Rule 144 filings, Section 16 filings, and ensure compliance with SEC and NASDAQ regulations.
• Assisting with coverage of general corporate and commercial matters, including reviewing contracts, supporting compliance efforts, including the development and ongoing review of policies and procedures and the implementation of training initiatives
• Advise on incentive plans and programs, equity administration and related public company disclosure considerations
• Playing a leading role in managing the Company’s environmental, social and governance initiatives
• Coordinate with business leaders to support licensure and accreditation efforts, operations and governance services offered
• Assist in corporate governance and board matters, including preparation of board materials, minutes and updates to corporate charters and policies.
• Work cross functionally with the legal team across the business areas
• Anticipate and identify legal risks, and use critical thinking to provide proactive and strategic solutions to eliminate or mitigate those risks
• Management of external counsel in corporate securities and mergers and acquisitions activity on as-needed basis

About You...

• Minimum of 4+ years of relevant experience at a law firm, in house, or investment bank principally in corporate and federal securities laws and requirements applicable to a public company, with sufficient experience to handle responsibilities.
• You should be familiarity with public company accounting, tax and finance processes, terminology, and systems and issues is preferred.
• You must be a member in good standing of at least one state bar.
• You should be flexible and eager to work hard in fast-paced environment, on a broad variety of legal matters
• Must have the ability to contribute to discussions of general business issues and understand and counsel clients in a manner consistent with the Company’s goals and culture.
• Excellent business and legal judgment with an ability to provide strategic value, assess risks and develop thoughtful solutions
• Proven ability to collaborate with internal teams (e.g., finance, sales, technology and HR), external partners, and other stakeholders
• You should have demonstrated strong written communication skills, including contract drafting

In compliance with New York City's Wage Transparency Law, the annual salary [wage] range for NYC-based applicants is: $180,000 - $210,000. There are a variety of factors that go into determining a salary range, including but not limited to external market benchmark data, geographic location, and years of experience sought/required. Progyny offers a total compensation package comprised of base salary, cash bonus, and equity.
