POSITION OVERVIEW
 
The Corporate Counsel will be a member of the in-house legal group that supports the overall company objectives.  The Corporate Counsel is responsible for providing legal expertise in the aspect of financial legal issues. The Corporate Counsel will be a part of a dynamic, collaborative team and work closely with other departments within the company (project development, regulatory, and finance). This position reports to the General Counsel or another senior management personnel that the President of the Company may designate. This position is expected to travel up to 10%. We are looking for a seasoned professional with experience in the following:
 

RESPONSIBILITIES

  • Negotiate, review, and manage all legal aspects and operation and maintenance (O&M);
  • Negotiate, draft, and review EPC agreements, subcontracts, O&M agreements and related service agreements including project finance due diligence, RFI and RFP EPC bid support, and regulatory filings as needed;
  • Provide legal support during the EPC construction phase, which includes, but is not limited to drafting force majeure notices and responses, notices to accelerate, notice of liens and bonding over liens, reviewing change orders, providing guidance to the Project Manager on matters on contract interpretation, managing claims and disputes, and other related matters.
  • Work closely with the Development team to ensure accurate flow downs from prime contracts (including but not limited to PPA, tax abatement agreements, and Interconnection) into EPC Agreements and subcontracts, as applicable;
  • Collaborate with Project Finance Team on financing matters, including, but not limited to construction financing, tax equity investors, and hedges;
  • Coordinate and oversee work performed by outside counsel and support staff providing legal support to the business;
  • Negotiate PPAs, Interconnection Agreements, and FERC regulatory filings as needed.
  • Coordinate efforts with other internal teams to propose appropriate risk management, identify critical project risk issues and make recommendations and provide summation of documents for execution; and 
  • All other duties, as assigned by the General Counsel.

 

REQUIRED QUALIFICATIONS

  • Must be an active member of the Bar, in good standing
  • Juris Doctor degree from an accredited law program with minimum of 3 years of experience
  • Experience in construction, O&M, development, clean or renewable energy is preferred
  • Willingness to travel, up to 10%
  • Must be a strong team player
  • High degree of professionalism and conduct at all times
  • Excellent organizational and verbal and written communication skills
  • Ability to multi-task, set priorities, meet deadlines
  • Excellent academic and work credentials are required
 
$150,000 - $250,000 a year
