Senior Commercial Attorney

Responsibilities

  • In coordination with CLE lawyers, advise internal clients within the business groups on all aspects of commercial law (excluding tax law), including antitrust and product liability law.
  • Cooperate with business group contract management teams to draft, review, analyze, and negotiate a wide range of contracts, including supply agreements, sales agreements, vendor service agreements, outsourcing agreements, NDAs, and other commercial agreements.
  • In coordination with CLE lawyers, support due diligence and provide legal advice on acquisitions and divestitures and other corporate transactional matters, including post-acquisition integration and managing joint ventures.
  • In coordination with CLE lawyers, actively manage disputes and litigation matters and outside counsel, to resolve disputes in the best interests of the company and its business groups.
  • Share knowledge and expertise with colleagues inside and outside of the legal department, and prepare, organize, and deliver trainings for non-legally trained personnel.
  • Assist in and support the development and implementation of robust internal processes, standard documents, contract templates, guidelines, and know-how.

Qualifications

  • This position requires a JD from an U.S. accredited law school or, for a foreign jurisdiction law school JD or equivalent, an LLM from an U.S. accredited law school.
  • Licensure or eligibility for licensure in Michigan. Legal Licensure in Mexico a plus.
  • Minimum of 4 years of experience focused on commercial law, general corporate law, or litigation in pertinent business areas (business litigation, commercial litigation, products liability litigation, or equivalent).
  • Preference for experience in a legal department in an international company or a business-focused law firm.
  • Strong knowledge of Uniform Commercial Code (Article 2) and experience reviewing, analyzing, negotiating, and drafting a wide variety of contracts.
  • Experience with M&A (i.e., mergers, acquisitions, divestitures) processes is a plus.
  • Exposure to either the automotive industry, consumer goods, or the life sciences industry (e.g., medical devices) and associated commercial practices is a plus.
  • Proficiency in Spanish is a plus.
