Job Description

Datasite is looking for a Sr. Attorney with a primary focus on commercial transactions and customer due diligence. This attorney will work with all levels within the business on everything from contract negotiations to risk assessments and security, privacy, and compliance policies, working independently with limited guidance. This position must pay attention to detail, maintain integrity in interactions and be able to adapt to ever changing priorities.

This position reports to the Associate General Counsel.

Duties And Responsibilities

  • Negotiate various agreements with external customers for SaaS company, understanding ROI, business cases and sales support;
  • Review and negotiate agreements with vendors, including license agreements, ability to understand risk assessments, cross border agreements and jurisdictional requirements;
  • Coordinate with Security and Compliance team and internal teams with regard to completing customer due diligence questionnaires and compliance inquiries.
  • Provide legal and business counsel to internal clients to resolve issues, identify risks, and make wholistic recommendations for all functional areas within the company;
  • Draft letters, memos, contracts, licenses, policies, and presentations to support internal and external obligations;
  • Ensure agreements are concluded in accordance with established corporate risk parameters, signing authorities, and various function/organization input;
  • Negotiate customer, vendor, and employee disputes, manage external counsel as appropriate;
  • Apply a broad knowledge of policy and legal principles and practices to lead the successful completion of projects;
  • Continue to expand fundamental knowledge in own discipline and broaden skills and knowledge about industry and Company;
  • Provide analysis of legislative, regulatory and judicial developments that might affect the organization; and
  • Actively participate in the legal team, including assisting GC on a wide variety of legal projects.

Qualifications/Requirements

  • 5 to 7+ years of experience in commercial transaction and satisfying customer due diligence requirements.

  • Good working knowledge of global data protection laws (CPRA, UK Data Protection Act, GDPR, Asutrlian Privacy Principles, LGPD etc) and ISO 27701 audit requirements;

  • Excellent drafting skills: demonstrated experience with commercial transactions, specifically the drafting and negotiation of items such as:

      1. complex master outsourcing services and technology-related agreements;
      1. software licensing agreements;
      1. reseller agreements;
      1. sponsorship and marketing agreements;
      1. teaming agreements;
      1. RFPs and RFIs;
      1. settlement agreements;
      1. non-disclosure agreements;
      1. statement of work;
      1. subcontractor agreements; and
      1. cloud hosted services agreements;
  • Must have experience overseeing and closing multiple projects and transactions;

  • Excellent verbal and written communication skills;

  • Excellent interpersonal skills and understanding of cultural nuances;

  • Strong organizational skills;

  • Creative and effective problem-solving skills;

  • Strong negotiation skills;

  • Basic understanding of and ability to navigate Microsoft suite of products, Salesforce, Adobe, and Workday <10% travel
    Education/Professional Requirements

  • Bachelors and JD degrees required;
  • Professional Requirements: Admission in good standing to practice law in at least one state;
