Associate Attorney (NYC, NY),

Duties incl: 1. Work on domestic & cross-border mergers & acquisitions, incl (i) the review of due diligence docs & drafting of due diligence memoranda; (ii) drafting of initial acquisition agreements & ancillary docs; (iii) assisting partners or counsel in charge in managing the deal flow & the closing process. 2. Assist borrowers in connection w/debt restructuring & financing transactions, incl drafting of term sheets, loan agreements, security agreements, convertible notes, & other ancillary docs. 3. Negot & prep letter of intents, term sheets, & other ancillary docs in connection w/financing transactions & debt restructuring. 4. Draft joint venture agreements in connection w/the acquisition & dvlpmnt of commercial real

estate properties, incl drafting of JV operating agreements. 5. Work on governance matters, incl (i) the preparation & filing of incorporation docs; (ii) the preparation of a variety of corporate resolutions & (iii) the preparation of even stockholders' agreements & operating agreements addressing even complex legal relationship among the co's equity holders. Admission to NY bar & real estate law background is req'd. Must have a Juris Doctor (J.D.) in Law or LLM + 60 mths of exp in legal profession w/exp in M&A, cross-border transactions, & real estate law. Salary $143,998/yr.
