Valor Capital is a commercial real estate investor and developer of luxury condominiums, located in Clearwater, Florida. We are an expanding company that is taking on new projects and in search of great people to add to our team to further accelerate growth. We are currently looking for a Junior Attorney for new developments.

We are seeking a highly skilled and experienced junior attorney with expertise in transactional law to join our dynamic company and provide legal support for our real estate development projects. The successful candidate will play a crucial role in providing legal counsel and support for all aspects of our real estate development projects, from acquisition through the ultimate disposition of property. The primary focus will be on transactional matters ensuring business risks are mitigated and legal compliance throughout the development process. This role involves drafting, reviewing, and managing various legal documents related to real estate development, ensuring compliance with relevant laws and regulations. You will be working under the direction of the company’s Chief Financial Officer.

Responsibilities for the position: Contract Negotiation and Drafting · Draft, review, and negotiate a wide range of contracts related to real estate development, including purchase agreements, partnership agreements, construction contracts, vendor agreements, corporate and investor documents, and other development related documents. · Ensure that contracts align with legal requirements, company policies, and industry standards Due Diligence · Conduct thorough legal due diligence on real estate transactions, including the review of property documents, zoning regulations, environmental assessments, and other relevant materials · Identify and address potential legal risks associated with property acquisitions and at each step during the predevelopment and development process Regulatory Compliance · Stay current with local, state, and federal laws and regulations affecting real estate development · Ensure compliance with legal requirements and assist in obtaining necessary permits and approvals Title Review and Analysis · Review and analyze title reports, surveys, and other real estate documentation to identify any title issues or concerns · Collaborate with external title companies and surveyors as needed Contract Management · Develop and implement efficient contract management processes to streamline document creation, negotiation, and execution · Oversee the organization and maintenance of legal documents, ensuring accessibility and compliance Legal Counsel · Provide timely and strategic legal advice to internal stakeholders, including project managers, executives, and various departments · Collaborate with external legal counsel as needed to address complex legal issues and ensure legal compliance Project Support · Assist in the resolution of legal issues that may arise during the real estate development process, including dispute resolution and conflict management · Collaborate with project teams to integrate legal considerations into project planning and execution · Represent the company in contract negotiations and dispute resolution, working towards amicable resolutions and, if necessary, providing litigation support Legal Research and Analysis · Conduct legal research on emerging issues in real estate law and transactional matters · Provide insights and recommendations based on legal research findings

Qualifications: · Juris Doctor (JD) degree from an accredited law school · Admission to the Florida Bar · Minimum of 5-7 years of experience practicing law, with a focus on real estate development transactions · Previous experience in a law firm or corporate legal department is preferred · Strong negotiation, drafting, and analytical skills · In-depth knowledge of real estate law and transactional matters · Excellent communication and interpersonal skills · High attention to detail and accuracy in legal document review and analysis · Ability to work collaboratively with cross-functional teams in a fast-paced environment · Attention to detail and accuracy, with a commitment to maintaining confidentiality
