Position: Corporate Paralegal Job Description: The Corporate Paralegal will provide valuable support in legal and administrative domains, including regulatory compliance, legal research, litigation, contracts, and other legal responsibilities. A strong understanding of commercial real estate laws and lease agreements is preferred in the ideal candidate. Candidate Requirements:

  • Collaborate effectively with external legal counsel, vendors, and stakeholders as needed.
  • Conduct thorough research on corporate governance requirements and best practices to inform strategic legal decision-making.
  • Facilitate the acquisition of necessary approvals from city, state, and local governmental bodies.
  • Draft precise and comprehensive legal documents, encompassing pleadings, contracts, and various legal correspondences.
  • Prepare documentation associated with the establishment or dissolution of business entities, including certificates of incorporation/formation and bylaws/operating agreements.
  • Review and refine commercial agreements, including confidentiality agreements, master services agreements/statements of work, vendor contracts, and contracts for sourcing, construction, and consulting.
  • Provide support in corporate governance matters, encompassing entity formation, maintenance of corporate records, and compliance.
  • Evaluate and update internal policies, procedures, and materials in collaboration with other teams.
  • Manage confidential information pertaining to the legal and internal operations of the company.
  • Systematically organize and maintain legal files and documents, ensuring accessibility and accuracy.
  • Stay abreast of changes in laws and regulations relevant to the company and apprise executive leadership of potential impacts.
  • Undertake additional responsibilities as assigned.

Candidate Qualifications:

  • Bachelor's Degree OR Paralegal Certificate OR a minimum of 3-5 years of experience as a corporate paralegal.
  • Familiarity with regulations and compliance requirements specific to the apparel/retail industry.
  • Proficiency in handling tenant/lease agreements and other real estate transactions.
  • Expertise in legal research and drafting legal documents such as pleadings, motions, and discoveries.
  • Knowledge of legal terminology, court rules, and procedures.
  • Excellent computer skills, including proficiency in Microsoft Office Suite and legal software/tools.
  • Experience in corporate governance and corporate transactions.
  • Capable of working independently with minimal supervision while following directions effectively.
  • Familiarity with various court services, including e-filing.
  • Proactive in identifying issues and taking necessary corrective actions within the scope of the position's responsibilities, including escalating issues to the appropriate party.
  • Strong interpersonal and organizational skills, particularly in direct collaboration with senior-level executives.

Additional Details:

  • Salary Range: $75-90k, depending on experience
  • Schedule: Monday-Friday.
  • Hours: 9-5 PM
  • Parking: Provided
  • Desk: Fully Onsite
