An unnamed client has exclusively retained the legal search services of McClure & Feuer to assist in its search for a General Counsel.

Our client is a highly successful real estate investment and development company with a portfolio of development and entitlement land projects, including retail, office, industrial, apartments and mixed-use properties. This position will report to the CEO with indirect reporting to members of the executive team. It will be based in Southern California.

What you will be doing:

  • Supporting transactions team, executive team, JV Partners, and managing outside counsel to close land, development and real estate acquisitions and dispositions.

  • Managing real estate transactions including drafting, negotiating, and closing commercial real estate lease agreements, purchase/sales agreements, easement agreements, construction contracts, loan documents and related corporate transactions.

  • Negotiating JVs with various partners.

  • Reviewing title commitments, recorded documents, land surveys and generating title and survey objections.

  • Preparing closing, conveyancing, loan, and corporate resolution documents in connection with transactions.

  • Overseeing and finalizing entity formation and corporate governance.

  • Coordinating recordation of deeds, easements, and similar documents.

  • Assisting with risk mitigation, litigation, and aiding HR with employment matters.

What you bring:

  • J.D. from a well-regarded and accredited U.S. law school.

  • A minimum of 10 years of experience.

  • Admission to the State Bar of California.

  • Substantial breadth of real estate practice experience gained in well-respected law firm settings.

  • Proficient experience in fund investments, venture capital, financings, M&A, corporate governance, and corporate secretarial matters.

  • Acute understanding of business sensitivities, confidentiality, and the exercise of independent judgment.
