Position Summary Canadian Solar’s Module and Systems Solutions (MSS) business in North America is seeking an experienced transactional lawyer to join its legal team. The ideal candidate will have big firm transactional experience in construction, procurement, M&A or a related area. Experience drafting and negotiating customer-facing contracts in the solar, wind or energy storage industries is preferred. We are looking for a confident self-starter with strong interpersonal and organizational skills and a demonstrated ability to draft contracts, negotiate deals, exercise good business judgment, and work with senior management, outside counsel and customers. This is a full-time position with the opportunity to work in an office setting or remotely.

Responsibilities

  • Provide legal advice on commercial and contract law matters primarily in the United States, but also Canada.
  • Draft module sales agreements, equipment supply agreements, contractor agreements, services agreements, product warranties, consents, estoppels, parent guarantees, distribution contracts and various other contracts.
  • Negotiate customer-facing agreements as a key part of a deal team.
  • Assist with all aspects of sales contract management and execution, including drafting legal notices, change orders and amendments, interpreting contract language and providing strategic and business-oriented advice.
  • Manage and develop contract forms and templates.
  • Coordinate and supervise outside counsel with a view to balancing legal costs with business goals.

Requirements

  • 7+ years of relevant transactional experience, including a minimum of 3 years’ transactional experience in a large law firm.
  • In-house experience in a high volume transactions team and/or solar/battery industry experience are preferred, but solid transactional lawyers without such experience will be considered.
  • Strong academic credentials, including JD from a top-50 law school.
  • Must be licensed to practice law in your US State of physical residence.
  • Strong contract drafting skills.
  • Experience leading negotiation of complex commercial contracts as part of a deal team.
  • Excellent communication and interpersonal skills and demonstrated ability to work cooperatively within a dynamic team of motivated individuals.
  • Willingness and ability to travel regularly within North America for negotiations or for meetings at our North America HQ in Walnut Creek, CA. (Travel is approximately 15% but may vary throughout the year in accordance with business needs).

Compensation & Benefits Canadian Solar offers a competitive salary plus fully comprehensive benefits and performance bonus package based on an annual objective achievement. Our generous benefits package includes a 401(k) Retirement Plan, medical/dental/life/disability program, PTO, and sick days.

The pay range for this position is $150,000 – $190,000 This range represents annual base salary only, without regard to location, and does not include bonuses or incentives or benefits that may apply. The pay range for this role is subject to change.
