Compensation

The salary for this role is $180,000 - $225,000. This is the range that we in good faith anticipate relying on when setting wages for this position. We may ultimately pay more or less than the posted range and this range is only applicable for jobs to be performed in California. This salary range may also be modified in the future.

About the Role:

This is an opportunity for an experienced and highly motivated attorney to join the world-class team of professionals responsible for developing LS Power’s innovative and important new energy and data infrastructure projects. As the Project Development Counsel, you will provide advice to senior management and teams of project developers throughout the project development lifecycle, including initial design, commercialization, competitive bidding, real estate acquisition, land use permitting, financing, construction and operation of low carbon intensity technologies, including green hydrogen, carbon sequestration, renewable energy and data center projects. In this role, you will work closely with the West Coast–based green fuels and renewable energy development team, as well as the data center development team. The successful candidate will have both a meaningful role and an opportunity to develop professionally with the support of collaborative and experienced peers.

Responsibilities

What you will do:

  • Serve as a key member of a sophisticated team of developers, acting as primary in-house attorney for an expansive range of matters.
  • Lead complex transactions at all stages, including drafting and negotiating term sheets and definitive transaction documentation.
  • Provide legal support in all matters related to development; including: commercial, real estate and entitlement, EPC and financing activities.
  • Provide proactive and strategic advice to help the development teams achieve project objectives.
  • Identify and analyze legal issues, and present clear, well-reasoned business and legal recommendations to clients reflecting a thorough appreciation of the business objectives and constraints.
  • Ensure actions taken by development team are prudent and supportive of a successful project financing and completion.
  • Identify, evaluate, and mitigate legal risk exposure, and explain and balance risks and rewards of a particular course of action.
  • Recommend, retain, and manage outside counsel as needed to cost-efficiently achieve objectives.
  • Oversee and assist with occasional dispute resolution and litigation as needed.
  • Collaborate and build strong relationships with cross-functional teams, including finance, tax, regulatory, accounting, and asset management.
  • Assist with certain financing, environmental, compliance and regulatory matters.
  • Perform other responsibilities as identified from time to time

Qualifications

  • Hold a J.D. degree and strong academic record.
  • Are licensed to practice law in at least one state (and authorized to practice law as in-house counsel in California).
  • Have at least 5 years of complex transactional experience (firm or in-house). Such experience need not be limited to energy sector.
  • Have experience with commercial contracts, preferably relating to power and/or commodity sales agreements, construction, consulting, engineering, equipment procurement, financing, partnerships/JV’s, utility (or other facility) operations, asset management, interconnection, and/or real estate.
  • Possess the ability to assess business challenges, make pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently while balancing legal risks against business interests.
  • Have an excellent work ethic, communication skills, drafting skills, and judgment.
  • Are able to deliver a high level of client service and perform excellent work under time pressure.
  • Are willing to develop skills in new areas, and flexibility to assist the legal team in its activities and its mission as needs arise.

Ideally you will also have…

  • Commercial and industrial real estate experience.
  • Familiarity with project development, project financing, real estate, construction, and/or environmental permitting.
  • Prior work experience in retail electric supply and/or industrial host applications such as cogeneration or hydrocarbon products supply.
