Job Summary

Altice USA is seeking an experienced attorney to provide legal support for its M&A and Corporate Development function.  Reporting to the SVP-Legal, this role will act as a lead counsel for M&A activity and strategic transactions at the Company and assist on other corporate matters.

Responsibilities

  • Act as a lead counsel for corporate development activities, including M&A and other complex strategic transactions, in all phases from drafting and negotiating NDAs, offer letters, purchase agreements, ancillary agreements and closing documentation, to leading diligence efforts and post-closing integration or separation.
  • Advise and work closely with a variety of key stakeholders, including senior management, in Finance, Accounting, Tax, HR and other business areas.  
  • Participate in ad-hoc teams with AUSA in-house attorneys and outside advisors on sophisticated transactions.
  • Provide creative, innovative, and effective legal solutions for business stakeholders on routinely short timelines.
  • Assist, as needed, in the areas of capital markets transactions, including diligence, deal coordination, and closing documentation.
  • Assist, as needed, in the management of AUSA’s subsidiaries, including maintenance of books and procedures, management of state filings, and organization of entity structure along with tax, accounting, HR, and related functions.

Qualifications

  • Minimum of 8+ years of experience at a large national law firm (or a similar combination of national law firm and in house experience) working on complex M&A transactions.  General corporate experience with exposure to commercial partnerships and similar transactions is a plus
  • Ability to lead transactions effectively while overseeing the work of / managing other team members
  • Demonstrated ability to apply sound business judgment, provide practical legal advice, and quickly build and maintain effective and positive relationships with business partners and colleagues in the legal department and other parts of the organization
  • Demonstrated ability to work in a fast-paced, entrepreneurial environment and to perform well under pressure while performing multiple tasks
  • Excellent interpersonal, organizational, and communication skills. Strong business acumen and analytical skills as a senior attorney
  • Unquestioned ethics and integrity, sound judgment and high tolerance for ambiguity and ability to get to the root of the matter
  • JD degree and state bar admission required

Salary ranges are supplied in compliance with New York State law.  Pay is competitive and based on a number of job-related factors, including skills and experience. The starting pay rate/range at time of hire for this position in the posted location is $161,186.00  - $264,805.00 / year. The rate/Range provided herein is the anticipated pay at the time of hire, and does not reflect future job opportunity.
