DarrowEverett LLP is looking for an experienced Senior Corporate Attorney with immediate availability for our Corporate Department. Ideal candidate(s) will have a portable and verifiable book of business that they are looking to grow, have a strong acumen for leadership and a desire to be an integral part of a growing office. The candidate must have excellent communication and administrative skills, be highly organized and detail-oriented, be able to multitask without sacrificing efficiency, be responsible, and be able to represent the firm, always, in ways that enhance its reputation.

The salary range for this position is $180,000 to $250,000 with a share of Originations collected.

Role & Responsibilities

  • 8+ years of continuous, specific, and verifiable corporate experience
  • Mastery knowledge and experience with securities, including preparation of PPMs
  • Experience with Reg D, Reg S, Reg A, Reg A+ and 144A Offerings a must
  • Public securities experience and or REIT experience a Plus
  • Ability to review, draft, and negotiate offering documents, including limited partnership agreements, limited liability company agreements, risk factors and other disclosures, private placement memorandums, executive summaries, subscription agreements, management agreements, administrative services agreements, and other agreements customarily involved in a private security offering.
  • Research legal issues relating to a wide variety of business transactional issues and provide analysis within the client’s budget and time constraints.
  • Assist in or oversee due diligence for mergers, acquisitions, and dispositions.
  • Manage high client volume and workload responsibility.
  • Provide advice to clients regarding contract terms and legal implications of business operations and transactions.
  • Assisting in the development of strategies to manage risk exposure and prevent legal problems from occurring

Qualifications:

  • Bachelor’s degree and J.D. Degree
  • Strong oral and written communication skills
  • Knowledge of the laws and rules, as well as state and federal court procedures, forms, deadlines, filing requirements and portals
  • Ability to organize factual and legal data into clear and logical arguments.
  • Ability to handle sensitive matters on a confidential basis.
  • An active license as an attorney in the state of NY and/or FL (Miami/Boca Raton areas)
  • A high degree of initiative, mature judgment, and discretion.
  • Organization and time management skills.
