Position Specific Description

This role will be responsible for providing legal support for the entity management, governance and structure of the Company’s more than 2100 subsidiaries and affiliates. Role requires ability to effectively execute on high level strategies in a fast-paced environment. Position has meaningful exposure to all aspects of the organization including commercial, development, business management, treasury and risk in supporting financings, transactions (commercial and M&A), general corporate governance matters and other business needs. Tasks include preparing, reviewing and finalize documents, corporate resolutions, reports and filings for subsidiaries regarding entity formation, maintenance and other subsidiary governance matters (including conversions, mergers, reorganizations, ownership transfers, name changes, qualifications to do business, annual meetings, annual reports, officer changes and amendments to organizational documents).

A genuine interest in corporate governance, professionalism, high energy and flexibility to adapt to often dynamic priorities are essential to success. Critical skills needed include the ability to deliver timely, quality legal services to internal business units. The successful candidate will also be able to thrive in a matrixed environment and work with supervision from more senior attorneys. It is preferred that candidates should have minimum experience of 3 years in a law firm, corporate law department or corporate secretary office and a working knowledge of corporate governance issues and trends as well as experience in financing and M&A transactions.
