The Role

a16z seeks an Assistant General Counsel, Corporate Law to join our Legal Team as the firm builds out legal and operational functions to scale with its continued growth and expansion. In this position, you will serve as a partner to your business counterparts in drafting and negotiating NDAs, MSAs, consulting agreements, and other commercial contracts on behalf of a16z’s management company. You will also assist with the implementation of scalable solutions for contract, vendor, and document management processes and workflows.

Counseling internal and external stakeholders on legal and business risks entailed in employment, compliance, intellectual property, and corporate governance-related legal issues will be key to the role. You will also help drive financial and strategic planning and budgeting for a16z’s legal function.

This role supports core enterprise functions that will be driving the adoption of management systems and operational disciplines critical to the organization’s success as it scales. This role does not provide deal-related legal support for investments in portfolio companies.

This role will report directly to a16z’s Head of Corporate Law.

  • Build relationships and establish trust and credibility across stakeholders within and outside of a16z, including outside counsel
  • Take a hands-on approach to building out a16z’s corporate legal function
  • Work in a fast-paced, entrepreneurial and growing environment – and across a range of interpersonal styles and approaches
  • Learn a16z’s key business drivers in order to manage corporate law matters holistically, meeting the firm’s risk appetite and strategic objectives

Minimum Qualifications

  • Undergraduate degree, JD, and state bar admission is required
  • 5+ years of experience practicing law at both a law firm, as well as in-house at a technology company
  • Extensive experience drafting and negotiating commercial agreements, including NDAs, MSAs, and consulting agreements
  • Familiarity with the implementation of scalable procedures, processes, and policies for contract, vendor, and document management
  • Strong communication skills and experience counseling non-legal stakeholders on legal and business risks associated with employment, compliance, intellectual property, and corporate governance-related legal issues
  • This role may require an in-office presence in our Menlo Park, CA or San Francisco, CA office

The anticipated salary range for this role is between $351,000-$410,000, actual starting pay may vary based on a range of factors which can include experience, skills, and scope.

This role is eligible to participate in the a16z carry program and various discretionary bonus programs as well as benefit and perquisite plans including health, dental, vision, disability, life insurance, 401K plan, vacation, and sick leave.
