The Assistant General Counsel (Contracts) is responsible for assisting the Associate General Counsel (Contracts) (AGC) in all functions of the contracting responsibilities for and on behalf of West Virginia United Health System, Inc., and its member organizations, including the physician practice plans associated with the WVU School of Medicine, WVUHS Medical Group, and other affiliated organizations as necessary. More specifically, the Assistant General Counsel (Contracts) will assist in the creation, review, negotiating, and editing of contracts and other forms of agreements, and will provide legal advice and guidance to internal customers regarding various contracting documents such as leases, affiliation agreements, professional services agreements, clinical trial agreements, facility use agreements, and similar contracting and documentation of arrangements. The Assistant General Counsel (Contracts) is also responsible for other day-to-day duties as assigned by the AGC (Contracts).

MINIMUM QUALIFICATIONS :

EDUCATION, CERTIFICATION, AND/OR LICENSURE:

  • Juris Doctor
  • West Virginia Bar membership or eligibility.

EXPERIENCE:

  • At least three (3) years of substantial experience in a law firm or in-house legal department with substantive experience in drafting, reviewing, and negotiating contracts and other instruments documenting arrangements and transactions between parties.

  • Provides assistance and back-up coverage for the AGC in the performance of the AGC’s responsibilities.
  • Maintains an ongoing understanding of matters in which the AGC is involved so as to be capable of providing legal guidance in the AGC’s absence.
  • Stays current on trends in the law and, particularly, fraud and abuse, Stark, compliance, regulatory, and related matters.
  • Provides day-to-day legal advice to internal customers regarding contracting matters
  • Is knowledgeable of legal trends and standards which regulate health care facilities and patient care and work to ensure compliance with these standards.
  • Provides advice regarding compliance with Medicare and Medicaid fraud and abuse, Stark, and tax exemption.
  • Updates and revises articles of incorporation, bylaws, and related documents.
  • Provides advice regarding the development of policies and procedures.
  • Responds in a timely manner to requests for advice or information per department policy.
  • Prepares and reviews contracts and/or agreements with outside agencies or organizations.
  • Participates in meeting the goals and objectives of the department to ensure that the department contributes to the attainment of such organizations’ goals and objectives.
  • Promotes and contributes positively to the team work of the department by volunteering to assist co-workers, contributing ideas and problem solving with coworkers.
  • Participates in planning and implementing change and maintaining and improving productivity through attendance and participation in staff meetings, task forces, projects and discussions.
  • Diligently and in a responsible and timely manner pursues and addresses legal needs of such organizations as they arise.
