We are seeking an experienced and versatile Legal Counsel to join our legal team. As a member of our legal department, you will be responsible for providing comprehensive legal support and addressing a wide range of legal issues and concerns. This position requires a solid understanding of various legal domains, including but not limited to contract law, technology law, intellectual property, business law, compliance, licensing, marketing, and mergers and acquisitions. The ideal candidate will have a minimum of 5 years of relevant experience and possess excellent analytical, communication, and problem-solving skills.

Responsibilities: Legal Advice and Support:

  • Provide expert legal guidance and support across diverse areas, including contract review and negotiation, intellectual property, technology law, business law, regulatory compliance, licensing, marketing, and mergers and acquisitions.
  • Advise internal teams, executives, and stakeholders on legal implications and risks associated with business decisions.
  • Conduct thorough legal research to stay updated on applicable laws, regulations, and industry best practices.

Contract Drafting and Negotiation:

  • Prepare, review, and negotiate a wide range of contracts, including vendor agreements, client contracts, confidentiality agreements, licensing agreements, marketing agreements, employment contracts, and agreements related to mergers and acquisitions.
  • Ensure contracts align with company policies and legal requirements and mitigate potential risks.
  • Collaborate with internal stakeholders to facilitate contract negotiations and resolve legal issues that may arise.

__ Intellectual Property Protection:

  • Safeguard and manage the organization's intellectual property rights, including trademarks, copyrights, patents, and licensing agreements.
  • Conduct comprehensive trademark searches, oversee trademark applications, handle copyright registrations, and address any related disputes or infringements.

Compliance and Regulatory Matters:

  • Ensure the organization complies with relevant laws, regulations, and industry standards in data privacy, consumer protection, employment, advertising, and marketing.
  • Develop and implement compliance programs, policies, and procedures.
  • Provide guidance on legal matters related to licensing, permits, and regulatory requirements.

Legal Support for Business Operations:

  • Advise on legal aspects of business operations, including contract interpretation, risk assessment, and dispute resolution.
  • Collaborate with cross-functional teams to address legal issues in areas such as procurement, partnerships, and vendor relationships.

Mergers and Acquisitions (M &A):

  • Provide legal support in M&A transactions, including due diligence, contract negotiations, drafting of agreements, and post-merger integration.
  • Collaborate with external legal counsel, financial advisors, and other stakeholders to ensure the successful completion of M&A deals.

Legal Research and Education:

  • Stay updated on legal developments, emerging trends, and applicable laws and regulations changes.
  • Conduct legal research and provide legal training to internal teams on relevant legal topics and best practices.

External Engagement and Relationship Management:

  • Liaise with external legal counsel, government agencies, regulatory bodies, and industry associations as required.
  • Build and maintain strong relationships with external partners, including law firms and legal service providers.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the relevant jurisdiction.
  • Minimum of 5 years of experience as a legal counsel, with expertise in contract law, technology law, intellectual property, business law, compliance, licensing, marketing, and mergers and acquisitions.
  • Strong knowledge of legal principles and practices across various domains.
  • Excellent drafting, negotiation, and analytical skills.
  • Proficient in legal research and staying updated on legal developments.
  • Ability to work independently, prioritize tasks, and manage multiple projects simultaneously.
  • Exceptional communication and interpersonal skills.
  • High ethical standards and a commitment to maintaining confidentiality.
