As the Corporate Paralegal, you will assume responsibility for a wide variety of tasks needed to support the Legal Department as a whole. You will work collaboratively with the General Counsel. You will also liaise and maintain relationships with the client groups served by the corporate team, such as Finance, Procurement, Real Estate, HR, Business Development, and Products. Regarding contracts, you will, among other things, support the implementation of the Legal Department’s contract lifecycle management system; manage the Legal Department’s process for the intake, review, tracking, and filing of a wide variety of contracts. With respect to your corporate responsibilities, you will: assist with Executive management matters; support various corporate governance initiatives; prepare, plan, and conduct company-wide trainings; assist General Counsel in various Legal and strategic initiatives; and broadly speaking, assume responsibility for continued implementation of systems, procedures, and best practices for the Legal Department. Your work will impact our companies’ engagement with external entities, as well as support the Company’s employees, and operations.

Duties and Responsibilities:

  • Confident and self-aware with strong communication skills, including presentation, written and verbal skills.
  • Strong analytical and problem-solving skills.
  • Detail oriented with excellent time management skills.
  • Ability to handle confidential information in a professional manner.
  • Assist in all phases of corporate transactions from inception to closing.
  • Assist with entity formation, including drafting subscription, employment, and confidentiality agreements, checking, and reserving corporate names, and preparing drafts of corporate organizational documents.
  • Manage and set expectations for process improvement projects.
  • Research and anticipate unique legal issues that could impact the company.
  • Draft and file documents related to business incorporation and ongoing operations.
  • Manage and maintain a docket of cases and ensure timely filing of pleadings and assist in the preparation of discovery responses.
  • Legal research, as needed.

Qualifications:

  • Paralegal certificate from accredited institution or equivalent work experience as a paralegal.
  • Paralegal with a minimum of 5 years’ experience in a law firm or in house corporate setting.
  • Strong organizational skills are required to properly track many different projects and advise clients with competing priorities.
  • Contract management experience.
  • Litigation management experience.
  • Oral and written communication skills are essential.
  • Familiarity with court docket and filing processes and systems.
  • Familiarity with office systems and legal research tools – e.g., Pacer, Lexis-Nexis or Westlaw.
