Position Summary

Under the overall supervision of the Corporate Manager of Legal, the Senior Counsel will usually work on transactions independently with other Functional personnel. Senior Counsel will retain legal services from outside counsel when necessary.

The legal work associated with the position is often complex with visibility to executive management. Excellent attention to detail is a must. The issues to be addressed are often unique and require a high order of original and creative legal analysis for their resolution.

The successful candidate will be flexible in their work scope and prepared to research and advise on corporate matters with which they may have less familiarity. They should also be confident in prioritizing workflow, to assure deliverables are met even when unexpected situations arise.

Position Responsibilities

Provide leadership on legal and commercial issues involving the Bechtel group of companies, including:

  • Research, track and advise on US and international disclosure requirements (such as California climate disclosures, UK Section 172 reporting and Climate-related Financial Disclosures, corporate transparency etc).
  • Oversee more complex corporate disclosures in prequalification and bid submissions.
  • Share responsibility for overall corporate architecture philosophy; advise as necessary on recommended improvements.
  • Negotiate and manage occasional small M&A transactions.
  • Provide legal support to various corporate functions on wide range of corporate issues.
  • Advise Business Development, Operations, and Functional Management on internal protocols, policies and procedures to ensure that compliance is maintained.
  • Provide support to Business Development, Operations and Functions as necessary to align their work with corporate requirements.
  • Research and advise on special projects from General Counsel.
  • Negotiate corporate contracts as necessary.
  • Manage invoicing and budget for external service providers and outside counsel.

Position Qualifications

  • Bachelor of Laws (LL.B.) or Juris Doctor (JD) degree (or equivalent).
  • Minimum 10 years’ work experience with corporate in-house legal team; privately-owned company preferred.
  • Minimum five years’ work experience in corporate department of large international law firm.
  • Strong proficiency with Office suite of software required; familiarity with entity management platforms (such as GEMs), SimpleLegal or similar legal invoicing platforms, and iManage or similar document management platforms a plus.
  • Excellent oral and written communication skills.
  • Well-honed advisory, negotiation and drafting skills.
  • High degree of business acumen and a strategic approach.
  • Ability to work effectively with people at all levels within the company.
  • Capable of supervising work of other attorneys and/or paraprofessionals.
  • Must be prepared to travel on an occasional basis.
  • Must hold a current license to practice law in United Kingdom or the United States
