About This Role

The Legal Counsel, Commercial role is dedicated to advising on commercial and general corporate matters. It involves owning a high volume of contracts in a fast-paced environment with many stakeholders. The role requires both advanced legal acumen and interpersonal skills. It will involve application of complex, evolving legal frameworks to new and innovative business opportunities. This is a great opportunity to join a dynamic legal team and work on addressing issues creatively in an exciting business. The Legal Counsel, Commercial, reports into the Associate General Counsel, Commercial, North America. This position is located in Parsippany, New Jersey and it is hybrid.

Your Responsibilities

  • Draft and review a wide range of agreements, including master services agreements, software licenses, complex commercial transactions, consulting services agreements, purchase and supply agreements and various other types of agreements in the areas of sales, supply, procurement, logistics, and technology.
  • Assist in developing a system to streamline the contracting process and a review of boilerplate agreements.
  • Provide support services for contracts ranging from standard contracts to complex, high value agreements.
  • Counsel and collaborate across business and legal teams in the U.S. and around the world.
  • Advise on business and legal risks and resolve issues in commercial agreements.
  • Own the life-cycle of negotiating agreements and build strong relationships to support cross-functional teams, including finance, procurement, sales, transportation and logistics, coordinating all aspects of contract life cycle, including review, drafting, negotiations and escalating critical issues to business stakeholders.
  • Closely monitor and advise legal team and business partners regarding legal trends and developments that impact the business and commercial agreements.
  • Identify tools and process improvements and help build scalable solutions to continuously improve contract lifecycle management and legal services related to agreements.
  • Undertake other work as required as part of the legal team.

The Experience We're Looking For

  • Strong interpersonal skills, intelligence, and the ability to communicate clearly and concisely.
  • Licensed to practice law in at least one U.S. jurisdiction (must be in good standing), preferably NJ. If licensed in another U.S. state, offer may be conditioned on receiving N.J. in-house counsel admission.
  • 1-3 years of experience with a major corporation or leading law firm involving extensive contracting.
  • Experience in the consumer products industry is a plus.
  • Experience contracting or counseling on real estate or other corporate matters are also pluses.
  • Quick thinking, with the ability to interface effectively with senior management, solving problems in real-time.
  • Ability to manage multiple high-priority projects simultaneously.
  • Strong problem-solving skills.
  • Strong desire to learn the business and function smoothly as part of an interdisciplinary team.
  • Strong team work and influencing skills.
  • Experience working globally and in a matrixed organization is a plus.
  • Hands-on orientation, ability to function with a minimum of administrative support.
