The Office of the Corporate Secretary is seeking an Attorney to join our team. The Corporate Secretary is an executive officer and custodian of the corporate records. In addition to handling aspects of board of director and board committee support for the organization, the Corporate Secretary fosters compliance with insurance holding company acts and other related laws or regulations. The most qualified candidates will be a 3-5 year attorney with experience in corporate law and corporate governance matters, have knowledge of State Farm’s insurance and financial services operations, be adept at legal and factual research, have experience working with and guiding paralegals, and able to effectively engage with state or other regulators. They should have the ability to work independently, communicate effectively within our team and across the organization (including senior levels), and multi-task in a fast-paced environment.

Key Responsibilities

  • Provides specialized and highly expert advice to appropriate representatives of State Farm and its affiliates
  • Provides legal and compliance-related services on behalf of State Farm and its affiliates
  • Works regularly with senior management and leadership on corporate governance and legal and regulatory compliance issues

Qualifications

  • D., preferably from an A.B.A. Accredited Law School, in the top half of graduating class and an active member in good standing of Bar in state of operation
  • Strong oral and written communication skills
  • General understanding of the State Farm organization
  • Familiarity with insurance regulatory frameworks, such as, but not limited to, insurance holding company regulation
  • Experience with Securities and Exchange Commission regulation and/or corporate governance legal matters (e.g., Delaware Chancery, corporate secretary, M&A, sustainability disclosures) desirable
  • Excellent legal and non-legal research skills
  • Experience and familiarity with complex litigation (3-5 years) is desirable
  • Ability to prioritize multiple complex projects simultaneously
  • Demonstrated integrity and sensitivity to confidential and trade secret information
  • Collegial, collaborative team player
  • Strategic thought partner to senior leadership, business clients, and Law Department colleagues
  • Is a highly collaborative problem solver who makes complex governance, legal and regulatory issues understandable to others
  • Is able to demonstrate an understanding of business objectives
