Job Description

Summary:

We are seeking an ambitious team member who wants to play a key role supporting our rapidly growing Corporate and Compliance Operations.  If you are someone passionate about leaning in, “owning” their work and projects, creating efficiencies and scaling legal operations, come work with us! You will work directly with the legal leadership team, reporting to the Senior M&A Corporate Counsel (who oversees corporate governance, insurance, M&A and post-closing integrations), and working closely with our Legal & Compliance Operations Manager to scale and mature our processes and the legal department overall.

Primary Responsibilities:

While reporting directly to our M&A Corporate Counsel, you will help:

  • Maintain organizational documents, Board resolutions and other corporate records for the company and its subsidiaries, including making annual state filings, maintaining business licenses and other related submissions.
  • Manage the life-cycle of subsidiaries by obtaining necessary approvals and preparing legal documents to effect formations, amendments to governing documents, officer and director modifications, qualifications to do business, withdrawals, mergers, etc.
  • Promptly respond to routine information requests to provide information about organizational structure, ownership and management from internal teams or external contacts in connection with their KYC/AML, RFI’s and RFP’s and other similar due diligence-type requests
  • Manage corporate entity database
  • Support due diligence and other key functions for M&A and other strategic corporate transactions.

While working with our Legal & Compliance Operations Manager, you will help:

  • Support completion of various ESG surveys/questionnaires and support documentation
  • Support review, response to and remediation of privacy-related requests
  • Provide support relating to M&A integration of compliance program initiatives
  • With support and direction of the Legal & Compliance Operations Manager, you will help project manage departmental operations and develop new process improvement initiatives
  • At the direction of the Legal Ops Manager, assist with legal invoice support, documentation and payables process

Achievements/Goals within first 6-12 months:

  • Finalize the implementation of corporate entity database with third party service provider, Computershare/GEMS

Qualifications

  • 5-7+ years of experience (prior law firm experience strongly preferred but not required)
  • Excellent critical thinking / common sense skills
  • Ability to critically and creatively problem solve, including a willingness to jump into projects and processes with incomplete information and identify and communicate required next steps, is imperative!
  • Ability to identify, recommend and implement process improvements, as needed
  • Ability to manage and proactively lead projects and processes to completion
  • Strong attention to detail and quality work product
  • Ability to work under pressure to juggle multiple assignments and meet deadlines while actively communicating status
  • Knowledge of legal terminology, procedures, and use of computer-based research tools and resources; prior knowledge of Computershare (i.e., GEMS) is a strong plus.
