About the Job

We currently have an exciting opportunity for an attorney to join our Corporate Legal team as a Senior Counsel.  Supporting Contract and Real Estate Counsels, this role provides legal counsel and support in connection with commercial contracting and real estate activities, including but not limited to strategic agreements in areas that include trademark licensing, foreign manufacturing, marketing, joint ventures, construction and leases.  This role will be a dual report to VP, Contract Counsel, and Senior Director, Real Estate Counsel.

What You’ll Do

  • Provide Legal services to executives, directors of departments, and other business clients using discretion and exercising independent judgment in both Commercial Contracting and Real Estate transactions. 
  • Prepare and negotiate commercial contracts, leases, and other legal documents, identifying risks, liabilities, and rights and propose alternative structures for prospective transactions.
  • Partner with the Real Estate Team to draft, negotiate and provide legal advice in connection with commercial real estate transactions, including, but not limited to, negotiating leases, amendments, and purchase sale agreements, as well as providing legal advice to lease administration and facilities regarding the interpretation of said agreements. 
  • Partner with the Procurement Team to negotiate and draft all commercial agreements including ecommerce, software licensing, SaaS, logistics, staffing/independent contractor, and consulting agreements.
  • Partner with the Construction and Facilities Team to provide legal advice and representation in connection with construction contracts.
  • Identify both legal and business risks on a variety of pending and existing strategic agreements in areas that include trademark licensing, foreign manufacturing, marketing, and joint ventures.
  • Provide advice on indemnity clauses, guarantees and other provisions, review insurance and indemnity requirements in leases and commercial contracts.
  • Research and analyze various legal issues presented by clients, then develop and recommend company policies and positions.
  • Assist in managing provision of legal services by outside counsel and other legal service providers as related to assigned business units and/or matters.
  • Provide support in complex litigations and compliance initiatives, as assigned.
What You’ll Bring
  • Bachelor’s Degree required and Juris Doctorate Degree from an accredited law school 
  • Licensed attorney in good standing
  • 6+ years’ experience, preferably working with a public company or a mid to large sized law firm.
  • Capable of interacting with, and establishing the respect and confidence of, senior business leaders
  • Excellent written, oral and interpersonal communication skills
  • Ability to influence and provide timely and effective legal and business advice and support at all organizational levels
  • Demonstrated ability to manage a high volume of matters at any given time, work well under pressure, successfully handle and prioritize multiple competing assignments, and effectively manage deadlines
  • Business-oriented problem solver and a flexible team player, with ability to partner across departments in order to provide legal support that will enable teams to do business effectively
  • Ability to analyze complex matters and propose creative and practical solutions, even in ambiguous situations
  • Strong interpersonal, written, and verbal communication skills to interface effectively with individuals at various levels
  • Professionalism, judgment, personal integrity, and confidentiality

Work Environment, Physical & Mental Demands

  • Ability to sit and work at a computer keyboard for extended periods of time
  • Ability to stoop, kneel, bend at the waist, and reach daily
  • Able to lift and move up to 25 pounds occasionally
  • Must utilize visual acuity, speech and hearing, hand and eye coordination and manual dexterity necessary to operate a computer and office equipment
  • Hours regularly 40 hours per week, as work dictates, from a hybrid office location near our New York, Texas or California Corporate Office or a remote location

The starting salary for this position is $104,300–139,000 and may increase to $173,800 depending on merit, length of service with the Company, and other factors. We take into consideration an individual’s skills, background, and experience in determining final salary. Other compensation may include a 10% Annual Incentive Plan (AIP) bonus paid according to policy. Base pay information is based on market location and may be subject to prevailing wage laws, if applicable.
