Job purpose

 26Health seeks a talented, knowledgeable, and self-motivated senior level attorney with approximately 7-10 years of relevant legal experience to serve as General Counsel. This position will be responsible for overseeing and assisting with general labor laws and employment matters, as well as identifying, analyzing, and assisting with legal, regulatory, and contractual issues related to the services provided by 26Health. Previous experience with litigation is required. Negotiation skills should be superior. 

Duties and responsibilities

Legal Advice and Counsel: Providing legal advice and guidance to the organization's executives, managers, and employees on a wide range of legal issues affecting the organization's operations. This could include regulatory compliance, litigation, employment law and risk management.

Contract Review and Negotiation: Reviewing, drafting, and negotiating contracts and agreements with customers, vendors, partners, and other third parties to ensure they protect the organization's interests and comply with applicable laws and regulations.

Advising on corporate governance matters, including compliance with corporate governance regulations, drafting corporate policies and procedures, and overseeing corporate filings and disclosures.

Remaining current with laws and regulations and overseeing compliance programs and training initiatives.

Managing the organization's legal disputes and litigation matters, including overseeing outside counsel, developing litigation strategies, and representing the organization in legal proceedings when necessary.

Mergers and Acquisitions: Advising on legal aspects of mergers, acquisitions, divestitures, and other corporate transactions, including due diligence, transaction structuring, and negotiation of transaction documents.

Labor and Employment Law: Guiding employment law matters, including employee relations, employment agreements, discrimination and harassment claims, wage and hour compliance, and employee benefits.

Regulatory Compliance: Ensuring the organization complies with applicable laws and regulations in its industry, including those related to data privacy, environmental regulations, consumer protection, and securities laws

Government Relations: Representing the organization's interests before government agencies, legislative bodies, and regulatory authorities, and monitoring legislative and regulatory developments that could impact the organization.

Ethics and Corporate Social Responsibility: Promoting ethical behavior and corporate social responsibility initiatives within the organization, including developing and implementing corporate ethics policies and programs.

Legal Department Management: Overseeing the organization's legal department, including hiring, and managing staff, developing departmental budgets, and collaborating with other departments to support the organization's goals as well as objectives.

Qualifications

  • A minimum of seven years of experience managing every stage of litigation, from initiation to resolution or trial.
  • JD is required from an accredited law school. Florida bar license required.
  • Drafting and arguing motions, pleadings, and briefs
  • Highly polished and effective leader with negotiation, communication, and drafting skills.
  • Excellent written and verbal communication skills, exceptional public speaking skills, and comfortable representing the agency.
  • Strong sense of integrity and honesty.
  • Ability to compose, review, and approve an extensive number of contracts and agreements.
  • Ability to establish and maintain excellent working relationships with the CEO/President, Board Members, Staff, and the Public.
  • Knowledge of laws, legal codes, court procedures, precedents, government regulations, and executive orders.
  • Excellent interpersonal skills: a leader, team player, and listener.
  • Strong moral compass.

Working conditions

  • Prolonged periods standing, walking, and/or sitting at a desk and working on a computer may be required. Work may be required in various environments as needed by project/activity.

  • May require the occasional ability to lift up to 25 pounds.
