As a Federal Government and Commercial Contracts Attorney with expertise in U.S. Federal Contracting and SaaS products, you will be a vital member of our Everbridge legal team. You will play a key role in ensuring that our business operates within regulatory compliance, while also providing strategic counsel for our government contracts and commercial relationships.

In this role, you will support our contracting needs and strategy as they relate to the sale of products and services to Everbridge government and Commercial customers. This includes supporting a direct GSA contract and management of FAR clause obligations. You will work closely with other members of the legal team and our business partners on developing Everbridge offerings for government and commercial customers.

What you'll do;

  • Government Contracting: Lead government contracting efforts, including drafting, reviewing, and negotiating contracts and subcontracts with federal government agencies.
  • Navigate the complexities of government procurement laws, regulations, and compliance requirements.
  • Support the negotiation and documentation of government sales agreements on behalf of the Company to include the review and implementation of policies, processes, and monitoring to ensure compliance with government regulations, including, Federal Acquisition Regulations (FARs), Defense Federal Acquisition Regulation Supplement (DFARS), and other applicable government or agency-specific regulations.
  • SaaS Contract Negotiations: Draft, review, and negotiate SaaS contracts, licenses, and agreements with commercial clients, ensuring they meet legal and business objectives.
  • Guide contract terms, pricing, intellectual property rights, and data security.
  • Compliance and Risk Management: Develop and implement compliance programs to ensure adherence to industry-specific regulations and government contract requirements.
  • Identify legal risks associated with SaaS products and government contracts and provide mitigation strategies.
  • Client and Stakeholder Relations: Build and maintain strong relationships with commercial clients, government agencies, and internal stakeholders.
  • Collaborate with cross-functional teams to address legal matters and support business goals.

What you'll bring;

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in the state bar.
  • Minimum of 6 years of Federal government compliance and procurement experience such as legal counsel, contracts, or procurement manager.
  • In-depth knowledge of Federal Acquisition Regulations (FARs), Defense Federal Acquisition Regulation Supplement (DFARS), and other relevant procurement statutes and regulations.
  • Experience with drafting and negotiating federal and commercial documents such as contracts, subcontracts, team agreements, and non-disclosure agreements.
  • Proven track record of negotiating and drafting complex commercial contracts and government agreements.
  • Strong analytical, negotiation, and problem-solving skills.
  • Ability to work independently and collaboratively in a dynamic environment
