Overview:

Our world class vision engineering team has built an engine that can process the movement of trucks and containers in real-time. It’s now time to unlock the potential of that engine by building SaaS applications that leverage the vision engine to transform the logistics industry. We’re hiring our first Legal Operations Manager to support our commercial, procurement, and people processes to align with the organization's goals while minimizing legal risks. By standardizing contract processes and providing comprehensive legal support across procurement and employment matters, this role will enhance operational efficiency, mitigate potential legal issues, and foster a stronger compliance culture. This person will be a key contributor in facilitating smooth commercial negotiations and safeguarding the Terminal's interests.

Responsibilities:

  • Serve as the in-house expert on all aspects of enterprise contracts, including drafting, reviewing, and negotiating Master Service Agreements (MSAs).
  • Develop and maintain standardized contract templates and legal documents to streamline the contract creation process and ensure compliance with applicable laws and regulations.
  • Collaborate closely with sales, procurement, and finance teams to ensure contracts accurately reflect business needs, risk tolerance, and revenue recognition principles.
  • Manage the entire contract lifecycle from initial drafting through execution and renewal, ensuring timely reviews and approvals from relevant stakeholders.
  • Provide legal support for software and hardware procurement processes, ensuring contracts meet the company's requirements for compliance, licensing, and data security.
  • Advise on employment-related legal matters, including drafting employment agreements, managing compliance with labor laws, and supporting HR in resolving legal issues.
  • Implement and oversee legal operations technology solutions, such as contract management systems, to improve efficiency and provide visibility into contractual obligations and risks.
  • Conduct regular training sessions for the team on legal best practices, contract negotiation strategies, and compliance requirements.
  • Coordinate with external legal counsel as needed, managing relationships and ensuring cost-effective legal support.

Requirements:

  • Juris Doctor (JD) degree or equivalent legal qualification, with a strong background in commercial law.
  • Minimum of 5 years of legal experience, preferably with direct experience in commercial contracts and corporate law within a corporate legal department or law firm.
  • Demonstrated expertise in drafting, negotiating, and managing complex commercial contracts, with a thorough understanding of B2B transactions and contract law.
  • Strong familiarity with software and hardware procurement, including licensing agreements and data security provisions.
  • Knowledge of employment law and experience supporting HR and employment-related legal matters.
  • Proficiency in using legal operations technology, such as contract management software and document automation tools.
  • Excellent analytical, negotiation, and communication skills, with the ability to explain complex legal concepts to non-legal stakeholders.
  • Highly organized and detail-oriented, with a proven track record of managing multiple projects and deadlines in a fast-paced environment.
  • Ability to work independently as well as part of a team, demonstrating leadership and initiative in driving projects to completion.
