Background RayzeBio is a dynamic biotechnology company headquartered in San Diego, CA. Launched in late 2020 and recently acquired by Bristol Myers Squibb (BMS) as a wholly owned subsidiary, the company is focused on improving survival of people with cancer by harnessing the power of targeted radioisotopes. RayzeBio will operate as a standalone entity within the BMS organization, maintaining its biotech culture with the opportunity to leverage the best-in-class oncology capabilities of BMS. RayzeBio is developing innovative drugs against targets of solid tumors. The lead asset, RYZ101, is in Phase 3 testing for patients with gastroenteropancreatic neuroendocrine tumors (GEP-NETs), as well as earlier stage testing for patients with small cell lung cancer (SCLC) and breast cancer. Summary We are currently looking for a General Counsel to lead the entirety of the legal function within RayzeBio. The General Counsel is responsible for ensuring legal compliance, mitigating risks, and providing strategic guidance across various facets of our operations. The General Counsel plays a crucial role in navigating complex legal landscapes, while overseeing a diverse portfolio of responsibilities ranging from regulatory compliance to contractual negotiations.

Job Responsibilities Essential duties and responsibilities include the following. Other duties may be assigned. • Advising the President, the leadership team and the board of directors of key risks potentially impacting the functionality of the business. • Assume a leadership role in the negotiation, drafting and review of a broad range of contracts, including clinical trial agreements, vendor and services agreements, confidentiality agreements, partnership agreements, among others. • Establish strong, collaborative relationships with the functional leads within the organization. • Manage all legal aspects of contracts, licenses, and agreements, ensuring compliance with legal and regulatory requirements, as well as internal policies and procedures. • Provide practical legal advice on key legal and compliance risks impacting the business, while proactively identifying and helping manage the risk profile of the organization. • Collaborate with cross-functional teams and external partners to support business development objectives and strategic initiatives. • Drive business development efforts by negotiating complex collaborations, partnerships and licensing agreements to expand the company's capabilities from research and development through commercialization. • Protect, manage and oversee the organization’s intellectual property rights, trademarks and patents, including management of outside counsel and internal Bristol Myers stakeholders. • Advise on data privacy and security matters, including compliance with GDPR, CCPA and other data protection regulations.

Education and Experience • A Juris Doctorate degree from U.S. accredited institution. • 10+ years of post-J.D. experience, including experience in the life sciences industry and/or practicing law at a top-tier law firm. • Experience advising and negotiating complex business development, collaboration, partnership or licensing agreements. • Experience serving on senior management teams, interacting with and advising boards of directors on legal and compliance matters, and managing corporate governance procedures.

This is a fast-paced position within a fast-paced organization, so the ability to come in and hit the ground running is critical for success in the role.
