What you will be doing: The Corporate Counsel is responsible for providing and managing legal services related to commercial contracts, business matters, and compliance matters. Provides a variety of legal services to a number of in-house clients. Acts as advisor on legal issues involving the organization’s corporate and regulatory compliance. Corporate Matters are primarily provided in the Americas Region. Compliance Matters are provided on a global basis.

Key Responsibilities:

  • Compliance Matters:

· Provide reports to management as to the operation and effectiveness of the company's compliance programs · Provide guidance and support regarding trade compliance (such as import classification, valuation, and country of origin determinations, export regulations, sanctions), legal compliance (such as Anti-corruption and Code of Conduct), and other regulatory compliance (such as FAR/DFARS, EAR, ITAR) · Manage and create business processes to ensure compliance · Implementation and training regarding our compliance programs · Corporate Matters: · Partner with internal Business Partners to support the Sales Function (and in particular, government customers) and support other Corporate Functions, such as Business Development · Work on M&A matters, including agreements, transactions and post-merger integration · Prepare and administer training workshops · Regular interface and focal point to a highly interactive legal / business team

Minimum Requirements:

  • · 8+ years demonstrated experience in general corporate matters with a focus on commercial contracts and corporate and regulatory compliance.
  • 2+ years demonstrated experience negotiating sales contracts with the US government.
  • 4+ years ’ experience in the following regulatory and compliance areas:

-ITAR/EAR (Export control) -FAR/DFARS (Federal Acquisition and Defense) -Trade Compliance (Import/Export Regulations, Customs)

Preferred qualifications: · Knowledge of economic sanctions, export classifications, FTA, Importer Security Filing and Additional Carrier Requirements (ISF), export and imports classifications, · Import/Export documentation and valuations of products, conflict minerals, HSR, CFIUS and privacy · Experience with HTS

Education: Juris Doctorate, equivalent or greater, from a program accredited by the American Bar Association

Licensure: Admitted to the practice of law in at least one U.S. State

Travel required: 10%
