What You’ll Do

  • As a Contracts Attorney specializing in SaaS and Services contracts, you will play a critical role in ensuring the legality and integrity of our contractual relationships with clients, vendors, and partners.
  • You will work closely with cross-functional teams, including sales, product development, and finance, to negotiate, draft, review, and manage a variety of contracts, including master service agreements, software licensing agreements, subscription agreements, and vendor contracts.
  • Your expertise in both life sciences and SaaS contracts will be essential in providing legal guidance and support to the organization as we navigate complex regulatory environments and dynamic industry landscapes.
  • Negotiate, draft, review, and revise contracts related to SaaS services, software licensing, subscriptions, and professional services.
  • Collaborate with sales, product, and finance teams to ensure contractual terms align with business objectives and mitigate legal risks.
  • Provide legal advice and support on regulatory compliance matters, including data privacy, security, and intellectual property rights.
  • Conduct contract reviews and risk assessments to identify potential legal issues and propose solutions.
  • Manage contract lifecycle from inception to execution, including contract tracking, renewal, and termination.
  • Advise on legal matters related to partnerships, collaborations, and strategic alliances within the life sciences industry.
  • Stay informed about relevant laws, regulations, and industry trends impacting life sciences domain, as well as SaaS and services contracts.
  • Assist with legal research, writing, and other projects as needed to support the legal department and overall business objectives.

Requirements:

  • Proficiency in computer skills, including the Microsoft Office suite, Microsoft Teams, Adobe, board management software, and management database.
  • Flexibility to collaborate with colleagues in different countries and accommodate calls and deadlines aligned with their time zones.
  • Strong drafting, project management, advisory, analytical, writing, and communication skills.
  • Proven ability to work independently and as an effective team member.
  • Emphasis on workplace integrity, sound business judgment, credibility, and professional ethics.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in at least one jurisdiction.
  • 7+ years of experience with of 3+ years of experience as a contracts attorney, with a focus on life sciences and SaaS contracts.
  • Strong understanding of regulatory requirements and industry standards applicable to the life sciences sector, such as FDA regulations and GDPR.
  • Demonstrated ability to negotiate and draft complex contracts with attention to detail and accuracy

Work Environment This job operates in a professional office environment. This role routinely uses standard office equipment, including but not limited to, computers, phones, and photocopiers.

Physical Demands This position requires the frequent and repetitive use of a computer, keyboard, and mouse. Hand and finger dexterity is required.
